The Role:

The role is a fixed term maternity leave cover to join a very busy team of two in a Corporate Secretarial ("CoSec") function of M&G Luxembourg S.A. ("MGL"), one of Luxembourg's largest and most complex Management Companies (ManCo).  The function provides company secretarial and corporate administration services for the ManCo, which is also an Alternative Investments Fund Manager (AIFM), and its governance bodies, plus a number of fund entities for which MGL is the appointed management company.  The role is intended to support the two Company Secretaries for the period of the contract however depending on the experience of the individual, responsibilities may be increased.   

Key responsibilities include:

  • Support the team to ensure the overall efficient operations of MGL's Board and committees, engaging with respective Chairs, Board members and committee members as necessary.
  • A – Z of Board and Committee meetings, including:
    • convening, attending, taking / drafting minutes, and liaising with relevant stakeholders prior to finalising,
    • preparing and distributing Board and Committee packs;
    • maintaining and overseeing the matters arising produced from Boards and Committees, including liaising with action owners in a timely and professional manner to close out the matters arising
  • To liaise with internal (and external, as appropriate) Board members, MGL Conducting Officers and other relevant stakeholders (both within MGL and across the M&G Group), as directed, in respect of the compliance with regulations and corporate formalities.
  • Support the maintenance of all corporate and governance records, documents, calendars and shareholder registers are maintained to a high and organised standard at all times.
  • To field queries of auditors, external administrators and relevant service providers.
  • To engage with M&G Group stakeholders and functions, as necessary, and to ensure compliance with internal standards and frameworks.

Additional responsibilities include:

  • Contribute to projects and planning support for new fund entity and sub-fund launches with respect to the scope of CoSec responsibilities.

Skills and experience required include:

  • A sound understanding of corporate governance standards and principles and specifically pertaining to ManCo, AIFM and Fund entities.
  • A good working knowledge of CSSF regulation 18/698, AIFMD, UCITS and other regulations relevant to the operations of a ManCo / AIFM would be beneficial but not mandatory.
  • Experience of working in a Company Secretary, Corporate Governance or equivalent role, legal experience would be considered a plus.
  • Proficiency with using usual corporate applications and ideally specialist applications/tools for corporate administration and secretarial activities.
  • Strong verbal and written English. Proficiency in French or German would be beneficial.
  • A professional manner and ability to engage with a wide range of stakeholders and guide them on all matters related to Company Secretarial services.
