**Senior Corporate Governance Officer** (H/F)** - CDI
**Votre mission**:
La gouvernance de la Vie Sociale et Juridique des différentes entités gérées par Global General Partner (GGP) est une activité clé de la structuration des sociétés et des fonds sous gestion.
Le département Vie Sociale et Juridique est à la recherche d’un Senior Corporate Officer pour renforcer l’équipe composée de deux collaborateurs.
Le poste est sous la supervision du responsable de la Vie Sociale et Juridique au sein du département Opérations.
**Responsabilités et objectifs**
- Assurer le suivi juridique et administratif des fonds et sociétés gérés/administrés
- participer aux formalités de constitution des sociétés et de mise en place des structures ainsi qu’à la rédaction des contrats entre les entités administrées
- Assister le responsable dans le suivi de la documentation juridique et légale ;
- Assurer la préparation des Assemblées Générales et des Conseils d'Administration
- Participer à l’analyse et à la rédaction de la documentation contractuelle liée au lancement de fonds d’investissement (ex. contrat d’agent payeur, distribution, administration centrale, AIFM, )
- Participer à l’analyse et à la rédaction de la documentation contractuelle liée au liquidation de fonds d’investissement.
- Assurer le suivi des signatures des différents documents de la société ;
**Transformation**:
- Participer à la transformation de la structure en proposant des solutions d’amélioration ainsi que contribuer à la revue des processus du département permettant de faire face au fort développement de l’activité.
**Opérations**
- Assurer l’organisation des Conseils (préparer les dossiers, réserver les salles de réunions, ) ;
- Prendre en charge - en étroite collaboration avec le responsable du département Vie Sociale et Juridique - les communications externes en particulier vers les Masters funds ;
- Rédiger des contrats, des procès-verbaux et des résolutions circulaires.
- Procéder au suivi des signatures des différents documents de la société afin de garantir un contrôle parfait de la documentation en cours de traitement ;
**Support aux différents départements **(cf Processus interdépartementaux)**
***- Interagir avec de nombreux départements internes (comptabilité et finance, administration centrale, KYC office, contrôle permanent) ;
- Audits : préparation de la documentation, suivi demandes auditeurs.
- Reporting : s’assurer du respect réglementaire des différents reporting qui incombent la Société et ses fonds
Rendre compte régulièrement aux Conducting Officer et Responsable du département Vie Sociale et Juridique de GGP des événements en rapport avec les entités clientes de GGP.
