**Summary**:
We are currently working on a very exciting role designed for a Transaction Legal / Corporate Officer with 4-5 years of experience in fund industry (SPV exposure), strong IT skills, and fluent English. This is a great opportunity to join a human-size team of a Global PE firm.
**Key responsibilities**:
- Corporate Secretary activities: convening Board of Managers meetings; preparing board packs, minuting and filing
- Prepare and review basic legal and corporate documents (intercompany loan agreements, NDAs, articles of incorporation and preparation, etc.)
- Liaising with the finance team and external auditors (prepare the approval of the annual accounts)
- Liaise on a regular basis with all external advisors e.g. notaries, account banks, law firms and auditors
- Filing of documents, record keeping
- Maintenance of various records (shareholder registers, PECS, CPECS registers etc.)
**Key requirements**:
- Master in law or business administration
- 4-5 years of relevant (corporate) professional experience (working for a Luxembourg based service provider or an asset management company)
- Excellent verbal and writing skills in English
- Interested in digitalization and new technologies
- Organizational skills
- Sociable and pro-active
- Good communication skills
- Independent and accurate work, but also having the necessary team spirit
- Hands-on mentality
