Corporate Governance Assistant

**Responsabilités**:
- Elaborer et mettre à jour les plannings du Conseil d’Administration et du Comité de Direction (les « Organes de Direction ») ainsi que de leurs comités spécialisés, respectivement comités de gestion
- Préparer les ordres du jour des réunions des Organes de Direction, les transmettre aux différents participants, et assurer la coordination de la préparation des réunions (réception et classement des supports)
- Assister le Senior Corporate Secretary dans la préparation des procès-verbaux des réunions du Comité de Direction et de ses comités opérationnels
- Assurer auprès des parties prenantes un suivi approprié et rigoureux des points d’action, décisions et demandes des Organes de Direction
- Assurer la mise à jour et le dépôt des informations à publier auprès du Registre de Commerce et des Sociétés (extraits RCS, RBE et réquisitions variées) pour la Banque et ses filiales
- Gérer le volet administratif en lien avec l’organisation des Assemblées Générales de la Banque
- Tenir le registre des associés de la Banque et veiller à la mise à jour des parts sociales
- Réaliser toutes tâches administratives en lien avec le Secrétariat Général, entres autres, la tenue et la mise à jour des documents statutaires de la Banque, la tenue de la liste des mandats occupés par les employés de la Banque, le classement et la mise à jour de la documentation en lien avec la Banque et ses filiales de la Banque, le classement et l’enregistrement de la documentation officielle dont le Secrétariat Général a la responsabilité
- Veiller à ce que toutes les activités du Secrétariat Général soient conduites en conformité avec l’objet et les statuts de la Banque
**Profil souhaité**:
- Expérience d’au moins 3 ans dans une fonction similaire ou en lien avec le volet administratif et organisationnel
- Rigueur, organisation et sens du détail
- Faire preuve d’exigence professionnelle
- Avoir un sens aigu de la discrétion et de la confidentialité
- Attrait pour la gouvernance d’entreprise en général
- Excellente maîtrise du français ; la connaissance du luxembourgeois, de l’anglais et/ou de l’allemand constitue un atout
