Manager of Client Legal

Description of Role

The individual is expecting to be working on a wide range of diverse and dynamic initiatives, however the role entails mainly supporting the Fund Services Offering on various areas of legal, corporate secretarial, internal control and governance.:
Legal Support and Fund Structure Entities onboarding stage:
Review of PPM/Prospectus, Articles and Sub-Docs/LPAs for clients and discussing with client any queries
Review and discuss with Clients any queries, comments and amendments the clients make on the legal terms of CSC service agreements templates and relevant documentation
Co-ordinate with the ITL Legal Team/Legal Counsel in the event of Client challenging specific GT&Cs or Legal Terms or any situation that may require contacting our Legal Counsels.
Supporting the coordination and flow of the Client Onboarding process for Funds for Medium and Low Risk along with the Fund Onboarding Team
Support the Corporate Secretarial Services Team with review and oversight, coordination of all client deliverables, according to the operating memoranda/SLA’s. This include, but are not limited to:
Oversight of review, drafting and administration of, shareholder resolutions, EGM, AGM and board meetings
Attending board meetings and ensuring timely preparing and delivery of minutes thereafter
Handling client communication on a day-to-day basis with regards to legal and corporate matters
Review of Client Commentary on CSC UCI Administration legal documents including Service Agreements
Coordination and working with Client Lawyers on Incorporation of companies
Keeping the funds and related entities in legal good standing
Ownership of ongoing AML/KYC on client legal entities
Guiding our clients through more complex legal and corporate issues

Board Mandates:
Sitting and participating on Client Boards for regulated as well as unregulated vehicles

Internal Control and Governance:
Working closely with internal control function, outsourcing committee, internal audit on policy, procedures and process implementation
Ensuring that the records are in place and well-structured in relation to processes and deliverable by the UCI admin function, particularly in light of CSSF Circular 22/811
Working with the operations director to prepare, review and coordinate internal CSC Lux management requests, reporting to senior management, KPI queries, regular overall status updates on filings, reporting etc
Participating as a core member of the CSC Luxembourg Funds team and helping sustain a strong reputation as a leading provider in Fund and Corporate services

**Profile**:
We are looking for individuals who:
Have a Master degree in (corporate or funds) law or related professional studies
Have a minimum of 7 years of relevant working experience in a PSF. Experience in a fund management environment or law firm will be considered as an asset
Want to succeed, grow, be challenged, challenge others and show commitment and ownership
Have strong communication skills and work well in a diverse team
Have an open-minded, common sense and can-do attitude
Are open to receiving feedback from, and providing feedback to, all involved internal parties to further improve and grow
Are accurate, flexible, hands-on and deliver their best work when facing a tight deadlin
Are fluent in English, written and spoken. Any additional language is considered as an advantage
