Head of Legal

Job Summary

EasyBiz is redefining how entrepreneurs launch and manage companies in Luxembourg and across Europe. As a full-service fiduciary company, we make business setup and management seamless, combining legal, accounting, and compliance support with a strong client experience. We are looking for an experienced Head of Legal& Compliance to lead and coordinate our legal and compliance functions in Luxembourg. The ideal candidate will ensure our business complies with Luxembourg's legal, regulatory, and corporate governance requirements, especially those under the oversight of the Commission de Surveillance du Secteur Financier (CSSF) and in line with AML/CFT and company law standards.

Responsibilities:

Compliance & Risk Management
• Own legal/compliance approval framework for clients aligned with KYC/AML and product risk model.
• Provide final sign-off for complex/high-risk cases and exceptions.
• Monitor regulatory developments (e.g. AMLD V/VI, GDPR, FATCA/CRS) and ensure company policies remain up to date.
• Oversee the implementation and continuous improvement of the compliance framework aligned with CSSF and EU standards. Expected results: documented decision notes, risk classification records, exception log.

Legal Advisory & Entity Management
• Advise clients on incorporation, corporate structure, governance, operational compliance, and ongoing legal maintenance in supported jurisdictions.
• Coordinate with external counsel/tax advisors where needed.
• Draft, review, and negotiate legal documents including shareholder agreements, board minutes, service agreements, trust deeds, and corporate resolutions. Expected results: client-facing legal notes/memos, approved standard responses, case summaries.

Service argumentation & legal positioning
• Own legal correctness of sales/service claims, scripts, FAQs, and product descriptions.
• Ensure alignment with regulatory expectations and risk appetite. Expected results: approved messaging pack, quarterly review updates, change log for client-facing materials

Regulatory & licensing process
• Define regulatory roadmap with CEO; execute legal process for licensing/authorisations if relevant.
• Build stable communication and compliance approach aligned with Luxembourg/EU requirements. Expected results: regulatory roadmap, policy set, meeting/communication log, milestone tracker.

VAT and administrative legal processes
• Lead VAT registration legal stream and integrate it with service delivery. Expected results: standardised VAT workflow, checklist, case tracker.

Legal operations & internal governance
• Build scalable legal infrastructure for a growing fintech: templates, internal controls, policy library, contract standards.
• Train internal teams (Service, Sales, Product, KYC) on legal/compliance basics relevant to their workflows.

Expected results: template repository, policy library, internal training materials, monthly ops report.

Team leadership
• Manage and develop the KYC Specialist; define capacity plan for future growth.Expected results: team OKRs, performance feedback, staffing plan.

Requirements:

• Master's degree in Law (LL.M or equivalent) from a recognised university; additional certifications in compliance (e.g. ICA, ACAMS, or CLT) are highly advantageous.
• 5+ years of legal and compliance experience in Luxembourg, ideally within a fiduciary, PSF, trust company, or Big 4/legal advisory firm.
• Strong knowledge of Luxembourg corporate law, AML/CFT regulations, GDPR, and CSSF Circulars.
• Excellent drafting, risk analysis, and interpersonal communication skills.
• Proven experience interacting with CSSF and other regulators.
• Fluent in English and French (written and spoken).
