**Description**

En tant que conseiller juridique, vous ferez partie de l'équipe Legal & Compliance et travaillerez sur les missions suivantes avec les autres membres de l'équipe:

- assistance à l'équipe d'investissement dans le cadre des processus de fusions et acquisitions et de la gestion des sociétés du portefeuille, incluant entre autres:

- la préparation et/ou la révision et l'organisation de la signature de divers contrats tels que les NDA, les mandats de conseil, les contrats de société en commandite et de souscription ;
- relation KYC/KYT avec les parties à la transaction et réalisation d'analyses BC/FT sur les transactions ; et revue et organisation de la signature de la documentation légale et corporative à signer
- assistance à l'équipe administrative dans la préparation et/ou la révision de divers contrats tels que les conventions de prestataires de services et les conventions de financement intragroupe ;
- organisation des réunions des organes de la société concernant diverses questions d'entreprise, les opérations de fusion et d'acquisition et les analyses BC/FT et préparation/révision de la documentation d'entreprise y afférente ;
- veiller au respect des politiques internes
- veille juridique concernant la législation sur les sociétés commerciales, la lutte contre le blanchiment d'argent, les fonds d'investissement, le droit fiscal, civil et commercial ;
- gestion des demandes entrantes en matière de KYC/KYT et/ou de fiscalité ; et conseils généraux sur les questions juridiques.

**Profile**

A propos de vous:

- Vous avez 3 à 5 ans d'expérience dans un poste similaire (corporate legal) au sein d'un fonds d'investissement, d'un cabinet d'avocats ou d'un prestataire de services aux entreprises au Luxembourg. Toute expérience acquise en matière de réglementation LBC/FT est considérée comme un atout.
- Vous êtes titulaire d'un diplôme universitaire en droit.
- Vous êtes à la recherche d'une fonction polyvalente dans le domaine du droit.
- Vous avez de solides compétences en matière de relations interpersonnelles et de communication.
- Vous avez une parfaite maîtrise de l'anglais et du français. L'allemand est considéré comme un atout.
