J CarneOur client is a market-leading Alternative Investment Manager with multiple international offices and over €50 Billion Aum.
They have built up a stable team of 15+ employees in Luxembourg City Center and they are currently adding to the team in several areas
**Responsibilities**:
- Assist in incorporating new entities (drafting documents, coordinating signatures, liaise with notary,
updating the global structure chart and Luxembourg overview summary).
- Assist with the liquidation of existing entities (drafting documents, coordinating signatures, liquidator and
notary).
- Organize and present board meetings (quarterly, ad hoc basis, deal meetings, credit facilities,
board meeting) and collation of relevant board packs, annexes, agendas, proxies, etc.
- Drafting board minutes and collecting signatures.
- Updating the board meeting database.
- For deal meetings, instruct Analyst and follow up on duplication of minutes review and any minutes prepared by Juniors.
- Assist in the preparation and arrange the execution of various legal documentation (shareholder resolutions,
circular resolutions, draw drawdown and repayment notices, equity contribution, distributions, capital calls,
asset transfers, corporate changes, change of articles, intercompany loan agreements, cost-share agreements, intragroup service agreements, share registers, etc.).
- Arrange certification, notarization, and legalization of documents, delegate to Juniors as appropriate.
- Lodge corporate changes with the Luxembourg Business Registers.
- Handle KYC requests by third parties.
- Ensure appropriate and consistent filing of the portfolio documentation in line with the filing and archiving
policy.
- Back up the Manager (as and where applicable) to ensure continuity of department activities.
+/- 4 years’ experience in a paralegal/Company Secretarial role.
Good organizational skills are required with the ability to prioritize tasks to meet deadlines.
Accuracy and confidentiality are essential. Competent in Microsoft Office packages, especially Word and Powerpoint, you must also demonstrate a professional attitude and the ability to communicate effectively at all levels.
Excellent fluency in English
