**Description**
- You will oversee the daily operations of one or more Corporate Officers, providing direct supervision and support.
- You will coordinate quarterly board meetings for the portfolio companies, ensuring that all pertinent topics are thoroughly addressed.
- You will manage the organization of additional board meetings focused on crucial issues such as the approval of investment opportunities, financing transactions, distributions, and the endorsement of annual or interim financial statements, ensuring these meetings are conducted promptly and documented appropriately.
- Depending on the complexity of the matters, you will either draft or review the minutes of board meetings and shareholders’ meetings, covering important decisions such as appointing or removing directors, approving financial statements, and handling distributions, as well as legal agreements like incorporation deeds, articles of association, and various financing documents.
- You will supervise team interactions or directly engage with notaries, external legal advisers, and multidisciplinary teams, as well as collaborate with internal departments such as accounting and cash management when necessary.
- You will oversee the corporate officers and assistants to ensure that annual financial statements are filed punctually and that relevant information and amendments are submitted to official regulatory bodies such as RCS and RBE in a timely manner.
- You will guide the corporate officers and assistants in managing internal files and performing daily administrative functions for the portfolio companies.
**Profile**
- Holds a University degree in Law.
- Possesses a minimum of 4-5 years of experience in corporate services within Luxembourg or at a prestigious law firm, particularly with unregulated entities at the Special Purpose Vehicle (SPV) level, as well as experience in Alternative Investment Funds (AIF), Real Estate, or Private Equity funds.
- Is proficient in English, with additional language skills considered advantageous, given the diverse team comprising over 20 nationalities.
- Has a strong understanding of the responsibilities and obligations associated with management services provided to investment vehicles based in Luxembourg.
