Job Title: Corporate Governance Officer
Company: Axis
Key Responsibilities:
- Oversee the effective preparation, organization, and coordination of activities related to board meetings.
- Manage the collaboration of service providers and various stakeholders.
- Draft agendas, supporting materials, and minutes for board meetings.
- Ensure adherence to legal requirements, regulations, and corporate policies.
- Assist in maintaining statutory registers and facilitate the annual audit process.
- Support the processes for subsidiary incorporation and funding.
- Contribute to corporate decision-making and documentation.
- Manage banking procedures and internal protocols.
- Assist the financial control, risk management, legal, and tax teams during deal closures.
- Facilitate Know Your Customer (KYC) procedures and regularly update corporate records.
Qualifications and Experience:
- Degree in Law, Economics, or a related field.
- Minimum of 3 years of experience in corporate administration within an international context.
- Extensive experience with Luxembourg companies and their global subsidiaries.
- Exceptional drafting abilities and capability to work independently or collaboratively.
- Strong time management, multitasking, attention to detail, and proficiency in relevant software.
- Excellent organizational and communication skills.
- Fluency in English; proficiency in French is an advantage.
