Job Title: Corporate Governance Officer

Key Responsibilities:


  • Oversee the effective preparation, organization, and coordination of activities related to board meetings.
  • Manage collaboration with service providers and relevant stakeholders.
  • Draft agendas, supporting materials, and minutes for board meetings.
  • Ensure adherence to legal requirements, regulations, and internal policies.
  • Assist in maintaining statutory registers and facilitating the annual audit process.
  • Support the processes for subsidiary incorporation and funding.
  • Contribute to corporate decision-making and documentation.
  • Manage banking procedures and internal protocols.
  • Assist the financial control, risk management, legal, and tax functions during deal closures.
  • Facilitate Know Your Customer (KYC) procedures and regularly update corporate records.


Qualifications and Experience:


  • Degree in Law, Economics, or a related field.
  • Minimum of 3 years of experience in corporate administration within an international context.
  • Extensive experience with Luxembourg companies and their global subsidiaries.
  • Exceptional drafting capabilities and the ability to work independently or collaboratively.
  • Strong time management, multitasking, attention to detail, and proficiency in relevant software.
  • Excellent organizational and communication skills.
  • Fluency in English; proficiency in French is a plus.
