Senior Corporate Governance Officer

- Il s'agit d'un rôle unique qui vous fournira une vue d'ensemble et transverse des activités de la Banque Raiffeisen, et la possibilité de vous approprier l'ensemble des processus d'un établissement bancaire de premier rang à Luxembourg. Le poste nécessite de collaborer avec tous les métiers de la Banque Raiffeisen et implique donc des échanges réguliers avec les différents responsables métiers impliqués.
- Pour réussir dans ce rôle, vous devez démontrer de solides compétences en matière d'organisation, d'analyse et de résolution de problématiques tant juridiques que réglementaires. Vous devez être capable de comprendre et de communiquer de manière claire, concise et pertinente, et aussi disposer de grandes qualités rédactionnelles en langue française. Ce dernier élément est une condition nécessaire et essentielle à votre recrutement pour la fonction.
**Responsabilités**:
**En tant que Senior Corporate Governance Officer, vous rapporterez au Secrétaire Général de la Banque Raiffeisen. Vous travaillerez en coopération étroite avec ce dernier tout en conservant un degré élevé d'autonomie et d'initiative, et aurez la responsabilité de l'encadrement d'une équipe.**
- Superviser la préparation et l'organisation des réunions du Comité de Direction et du Conseil d'Administration (préparation des agendas, mise à jour des plannings, préparation et relecture des supports sur demande)
- Organiser l'assemblée générale des associés, et ce en conformité avec les règlements intérieurs desdits organes et les statuts de la Banque Raiffeisen
- Mettre à jour les documents régissant la gouvernance interne de la Banque Raiffeisen conformément aux réglementations applicables (veille réglementaire et suivi pro-actif des dernières tendances et évolutions, mise à jour de diverses politiques, et des règlements intérieurs régissant le fonctionnement des organes de gouvernance)
- Développer et mettre en œuvre les processus opérationnels découlant de la mise en œuvre des réglementations (sélection et nomination des membres des organes de gouvernance, suivi des transactions impliquant des parties liées ou encore anticipation et détection de possibles conflits d'intérêts)
- Assurer la bonne diffusion et le suivi des demandes en provenance des autorités et des associations de la place
- Rédiger certains courriers notamment à l'attention du régulateur
- Coordonner la réalisation de diverses tâches administratives en lien avec les activités du Secrétariat Général
- Assister et répondre aux requêtes ponctuelles des différents départements de la Banque Raiffeisen en matière de gouvernance, et en particulier la préparation des rapports annuels et rapports réglementaires (Long Form Report, rapport extra-financier)
**Profil souhaité**:
- Expérience d'au moins 8 ans dans une fonction similaire ou liée (compliance, juridique, risk management)
- Connaissances réglementaires en matière de gouvernance bancaire (Circulaire CSSF 12/552, CRD, Orientations de l'Autorité Bancaire Européenne) ; capacité de conceptualisation, sens logique et de déduction
- Très bonnes compétences rédactionnelles, d'analyse et de synthèse
- Très bonnes capacités de communication tant en interne qu'en externe
- Rigueur, organisation et sens du détail
- Faire preuve d'exigence professionnelle
- Avoir un sens aigu de la discrétion et de la confidentialité
- Être curieux
- Attrait pour la gouvernance d'entreprise en général
- Excellente maîtrise du français ; la connaissance du luxembourgeois, de l'anglais et/ou de l'allemand constitue un atout
