**Jr. Legal Counsel - Funds (M/F/d)**
**This role can be based in Luxembourg or Berlin**

As the leading global platform for private equity investing, Moonfare is experiencing incredible success and growth. Within this growth, Moonfare's Legal Team is one of the key teams that support the company around fund structuring, regulatory expertise and supporting all sides of the business with legal topics.

Joining our Legal Team means you will join a cross-border, collaborative and expert team, contributing to the launch of investment products on the Moonfare platform by elaborating fund documents, liaising and overseeing service providers related to our funds, negotiating side letters and distribution agreements with sponsors and analysing fund due diligence from external counsel.

**You will**:

- Assist in drafting fund documents (e.g. PPM, LPA, subscription documents, PRIIPS KID, ex-ante cost information, marketing documents).
- Coordinate and oversee service providers in relation to launching our Moonfare funds (e.g. AIFM, fund administrator, depositary bank, liability umbrellas).
- Contribute to side letter and distribution agreement negotiations and most-favoured-nations elections with Moonfare's target fund sponsors.
- Help analyse fund due diligence provided by external counsel.
- Notify our funds for marketing with the responsible regulators (e.g. MAS in Singapore, FCA in the UK).
- Review our marketing materials from a regulatory perspective.
- Work closely with other members and teams within the Legal team, as well as support other internal stakeholders.

**The next Moonfarian**:

- Previous experience as a member of an in-house legal team or with a reputable law firm
- A fully qualified lawyer
- Background in fund law (experience in financial regulations and financial markets law favourable)
- Experience in reviewing fund due diligence and negotiating side letters as well as distribution agreements
- Excellent written and verbal communication skills in English
- Communication skills in German and/or French are favourable
- Highly motivated with a commitment to excellence
- Excellent project and stakeholder management skills
- Demonstrated attention to detail
- Strongly collaborative
- Hands-on attitude and positive mindset
