BIL Manage Invest (BMI) is a market-leading independent management company domiciled in Luxembourg, providing a one-stop regulatory solution for global investment managers. Staffed by highly experienced portfolio and risk managers, BMI is best positioned to provide premium 3rd party UCITS and AIFM services for the financial, real estate, infrastructure and private equity asset classes.

**Responsibilities**:
**Mission**:

- The Legal Counsel will support the Head of Legal of BIL Manage Invest to advise BIL Manage Invest on Legal & Regulatory fund issues and helps BIL Manage Invest clients to define the optimal fund structuring solutions.
- The Legal Counsel of BIL Manage Invest (i) reviews legal documentation and service provider agreements and (ii) acts as legal counsel with regards to legal issues pertaining to BIL Manage Invest itself.

**Reporting line**:

- The Legal Counsel reports hierarchically to the Head of Legal of BIL Manage Invest.

**Main tasks & responsibilities**:

- Monitor all legal and regulatory changes.
- Review and draft legal documentation such as fund offering documentation, circular resolution, notice to shareholders and service provider agreements
- Liaise with Luxembourg regulatory authorities (CSSF) for the legal approval process of the regulated funds
- Ensure internal coordination in the preparation of the product set up.
- Serve as an interface between external legal services providers and BMI.
- Be in charge of Fund registration of Funds in various distribution countries.
- Be in charge of the management of BMI’s library of legal documents and templates.
- Be in charge of corporate secretary for some committees.

Must Have Requirements

**Profile**:

- Excellent academic background with a degree related to Legal
- Minimum 3 years of relevant work experience
- Specific experience in developing Luxembourg investment vehicles with knowledge of various liquid and illiquid asset classes.
- Good knowledge of new regulatory changes impacting the fund industry and their effects
- Fluent in both English and French
- Ability to work under time pressure
- Entrepreneurial mind set with a solution based attitude to work is a must
