I am seeking for a talented Legal Counsel to join a dynamic and fast-growing fiduciary in Luxembourg Gasperich with over 30 dedicated employees. This company offers top-tier services to corporate and fund clients and prides itself on delivering excellence and fostering professional growth within its team.
As a Legal Counsel, you will play a key role in providing legal advice, support, and guidance to the paralegal department (8 persons) and other stakeholders, ensuring the timely and efficient delivery of transaction legal documentation, advice, and project initiatives.
**Key Responsibilities**:
Managing and coordinating the delivery of legal advice and support to the third-party fund management company service business operating in Luxembourg. This includes fulfilling the second line of defense role and effectively managing legal risk.
Contributing to the paralegal team in its provision of paralegal and fund structuring activities. This includes drafting fund documentation, filing with the regulators, and more.
Supporting the authorized management with legal matters and legal documentation. This includes assisting in coordinating external legal advisers, preparing and reviewing legal documentation templates, and preparing and reviewing legal documentation related to the Company.
Supporting and managing external advisers and other stakeholders in successfully delivering transactions and projects on a timely basis.
Delivering accurate and cost-effective legal and/or regulatory advice. This includes ensuring it is clear and understandable to non-lawyers, delivered within relevant timescales, is commercial and proactive, and manages/minimizes legal, reputational, and regulatory risks.
Striving for continuous improvements in the operating practices and processes of the paralegal team. This includes identifying efficiencies, improvements, and opportunities to reduce costs.
Managing and delivering the communication of internal and external legal advice. This includes providing input on transactions and projects to stakeholders in a commercial, user-friendly, and efficient manner.
Managing legal, regulatory, and reputational risk within the Company. This includes identifying and evaluating these risks and formulating robust solutions to mitigate them. You will also be responsible for escalating to the authorized management and relevant business management and control areas.
Ensuring all legal support provided by the paralegal team complies with the legal and regulatory framework within which the Company operates.
**Qualifications**:
A Bachelor's or Master's degree in Law ;
A minimum of 8 years of relevant professional experience, within a l aw firm or asset management company operating in the field of investment funds in Luxembourg, with a focus on real estate and private equity ;
Profound knowledge of the Luxembourgish legal and regulatory environment concerning investment funds ;
Open-minded, dynamic, flexible, and capable of working in a team in an organized and independent manner ;
Proficiency in MS Office ;
Fluency in English and French, both written and spoken.
