Job description:
· Organising and managing board meetings;
· Drafting minutes, board documents and other miscellaneous documents for Apera's entities;
· Assisting the Legal team with standard AML / KYC requests (including FATCA/CRS forms, UBO declarations, AML letters);
· Maintaining the database up to date for bank accounts and signatories;
· Liaising with notaries and legal advisors on incorporation, changings to the bylaws, amending the LPAs and liquidation of companies;
· Onboarding new companies and opening of the bank accounts;
· Organizing files and updating folders and online database on regular basis,
· Corresponding with local authorities (notaries, tax administration, VAT
· Arrange notarization and apostille of various documents;
· Coordinating signatures of miscellaneous documents;
· Annual accounts approval;
· Drafting board documents to approve transactions (IFL, PPL, PECs, Transfer Certificates, Sub participation Agreements);
· Support the Legal team on closings;
· Supporting the Legal team with any as-needed ad hoc tasks;
· Proactively contribute to the Team success by seeking to improve working processes;
· Administrative responsibilities: assisting with day-to-day office management, including office supply orders, device orders and inventory, office insurance, scanning and filing documents, courier management, etc.
Qualifications and Experience required:
· Experience in corporate and administration in a similar work environment in Luxembourg (
minimum 5 years
);
· Certified in "Luxembourg Company Secretarial & Governance Practice" with
ILA
would be an advantage;
· Strong Microsoft Office skills;
· Fluent in English and (strong) French or German would be an asset;
· Confident, flexible and engaged;
· Excellent attention to detail;
· Willingness to assist on all matters;
· Eagerness to learn.
