**Job Description**:
Role and responsibilities
Luxembourg Registered Office:
- Maintain all corporate documents as is required by the laws of Luxembourg and Fund's register of shareholders at the Registered Office.
- Accept all written: notices; correspondence; telegrams; fax messages or other representations on behalf of Funds addressed to the Registered Office.
- Organize and convene meetings of the investors and of the board of managers at the Registered Office including general meetings (AGM, EGM, etc.).
- Maintain shareholder registers.
- File annual accounts as provided by Funds or its agents or service provider.
- Open and take note of the content of all correspondence received by SS&C on behalf of Funds and, where necessary, take appropriate action in relation to such correspondence, including bringing such correspondence to the attention of and forwarding such to the directors of Fund.
- Maintain the identification documents of the members of the board of managers, the investors, the beneficial owners or other beneficiaries.
- Maintain Fund files in relation to the following activities ensuring that SS&C receives the most up-to-date version of the following documents:
- All documents relating to general meetings.
- Minutes of meetings of the board of directors.
- Official minutes granting powers, such as powers of attorney.
- Business permits/trading licences.
- Annual financial statements.
- Tax returns.
- Share registers.
- Extracts from the commercial and companies register.
- Extract from the beneficial owners register
- Publications on the Mémorial (Luxembourg Official Gazette).
- File relevant documents with the commercial and companies register.
- Corporate Secretarial:
- Secretary. Identify a person to be appointed and to act as secretary or assistant secretary of Fund.
- Coordination of Meetings. Assist in the coordination of meetings of the board of directors of Fund or investors and prepare and deliver notices, agendas and proxies with respect to such meetings.
- Meeting Attendance. Arrange personnel to attend meetings of the board of directors of Funds or investors (either in person or by teleconference) for the purpose of recording the minutes of such meetings. Prepare and circulate draft copies of the minutes to all meeting attendees.
