**Job summary**:
Responsible for the co-management of the team that provides company secretarial services to a number of clients of JP Morgan S.E. - Luxembourg Branch. Development, implementation, and supervision of procedures and processes and monitoring of risks and controls in line with regulations and JPM standards. The company secretarial service is composed of two main activities: Domiciliary Agent and Corporate Secretary.
**Job responsibilities**:
Management
- Management of direct and indirect reports
- Mentoring and development of direct and indirect reports
- Management of projects and costs monitoring for the team
Control/Risk
- Development, implementation and oversight of the Luxembourg company secretarial team's operational risk processes and controls to ensure compliance with regulations and JPM standards
- Identify and remediate any risk issues in accordance with internal risk policies
- Ensure full compliance of the service offering to clients in accordance with Luxembourg law and regulations
Operational
- Proactively work to maintain and enhance client relationships
- Planning of and attendance at client meetings and visits
- Assist sales with the take on of new business (onboarding and attendance at client pitches)
Client/Service Delivery
- Adopt flexible approach to ensure client deadlines are met and/or initiate corrective action when service levels fall short of standard
- Reviewing of work of other team members for accuracy and control
- Provide day-to-day advice and support to direct and indirect reports to ensure coverage of and timely delivery of all client outputs (including inter alia ):
- Preparation of board and committee papers
- Attendance at board and shareholder meetings
- Drafting/reviewing of minutes of meetings
- Drafting/reviewing of circular resolutions
- Preparation/reviewing of statutory and regulatory filings
- Liaison with CSSF RCS Luxembourg Stock Exchange and the Luxembourg tax authorities
Required qualifications, capabilities and skills:
- ICSA qualified or equivalent legal/company secretarial qualification
- Demonstrated ability and experience in developing and implementing procedures and processes in a compliance / risk mitigation setting
- Experience providing company secretarial support to Luxembourg domiciled companies and funds
- Minimum ten years' experience in company secretarial, legal role or compliance department with previous experience of managing a team
- Knowledge of Luxembourg Commercial Law and fund administration & the Rules and Regulations of the Luxembourg Stock Exchange
- Knowledge of CSSF rules and regulations in respect of all Luxembourg regulated companies and funds
- Excellent presentation, interpersonal and communications skills as well as excellent organization skills and the ability to multi manage tasks
Preferred qualifications, capabilities and skills:
- Further Legal (BA of Law, LLM) qualification preferred
