Career Opportunity:
We are currently recruiting a Senior Company Secretary for our Luxembourg office.
Key Responsibilities
Transaction & Corporate Support
• Assist with share issuances, transfers, capital contributions, reorganisations and other corporate actions.
• Support M&A transactions, acquisitions, disposals and restructuring projects from a corporate governance perspective.
• Coordinate execution and completion mechanics for transactions.
• Liaise with legal counsel, notaries, tax advisers and corporate service providers during transactions.
• Assist with post-completion corporate housekeeping and integration activities. Group Entity Management
• Maintain up-to-date information on all entities within the group structure.
• Coordinate with service providers, directors and corporate administrators in various jurisdictions to obtain and update corporate information.
• Monitor organisational charts, director appointments, shareholder information and authorised signatory records.
• Ensure corporate records accurately reflect current ownership and governance arrangements. Administrative & Operational Support
• Manage document execution processes, including DocuSign and other electronic signature platforms.
• Organise and maintain legal and corporate document repositories.
• Assist with preparing corporate certificates, extracts and due diligence documentation.
• Support KYC, bank account opening and compliance-related requests.
• Track action items and ensure timely follow-up with stakeholders. Skills & Experience Essential
• Experience in a company secretarial, corporate governance, legal administration or corporate services role.
• Strong understanding of corporate governance and company secretarial practices.
• Experience preparing corporate documentation such as board resolutions, shareholder resolutions and powers of attorney.
• Familiarity with share issuances, transfers and other corporate actions.
• Experience supporting corporate transactions and M&A projects.
• Excellent organisational and project management skills.
• Strong attention to detail and ability to manage multiple deadlines simultaneously.
• Proficiency in Microsoft Office and electronic document management systems.
• Experience using DocuSign or similar execution platforms.
• Ability to work independently and proactively. Preferred
• Experience in Luxembourg corporate law and governance.
• Experience working with international structures and multiple jurisdictions.
• Experience within private equity, investment management, financial services or corporate services sectors.
• Fluency in English and French. Personal Attributes
