**Job Description**:
This is a role for an experienced corporate legal officer who wantes to work in house for a leading international entity. You will have strong experience running your own portfolio, being highly organized with a strong corporate legal background. You will understand basic financing transactions from the corporate perspective, and have strong attention to detail, being comfortable drafting legal documentation and minutes, and you will understand all aspects of corporate governance.

To be successful in this role, you will have gained exposure to dealing with holding companies and subsidiaries. Your current portfolio entities will invest in real estate, or infrastructure, listed securities, or in private equity.

In this role you will:

- Manage a portfolio of entities, handling all of the governance aspects throughout the lifecycle of entities, from set-up to liquidation
- Attend and minute board meetings, be involved in the preparation and organization of meetings; creating agendas, reviewing resolutions and board packs
- Undertake the drafting of a broad range of legal documentation
- Work with the legal and finance team to source all relevant approvals and required signatories
- Ensure all statutory registers are up to date, coordinate with the RCS, etc.
- Open and maintain bank accounts; review AML & KYC documentation requirements
- Work collaboratively with various stakeholders including legal, tax, audit, compliance and other service providers
- Ensure compliance with all procedures and with Luxembourg regulations

Assist and mentor other less experienced Associates

To be considered for this role, you will:
Possess excellent English language skill

You will have prior experience in a similar role in Luxembourg

You are likely to have beween 5 - 10 years' prior co sec / legal officer experience

You will have a collaborative mindset, but be capable of working autonomously
