**MISSION PRINCIPALE**
Organisation et suivi de la vie sociale des OPC (gestion administrative et assistance juridique).
**ACTIVITES**
- Organiser et assurer le bon déroulement des réunions des conseils d’administration des OPC, incluant la planification des ordres du jour, la préparation des supports et autres facilités, et la rédaction des procès-verbaux.
- Organiser les assemblées des actionnaires des OPC, incluant la planification des ordres du jour, la préparation des supports, traductions, publications, et participation au bureau.
- Organiser l’envoi des notices aux actionnaires, traductions, publications légales, et effectuer les communications requises auprès des régulateurs étrangers.
- Assurer la coordination des rapports financiers et questionnaires CSSF avec les différents contributeurs, auditeurs et administrateurs des OPC, et veiller au respect du délai de communications desdits rapports et questionnaires auprès du régulateur.
- Réaliser toutes les démarches de publication et de dépôt des comptes, extraits de résolutions et réquisitions légales auprès du Registre de Commerce et des Sociétés de Luxembourg et auprès du Registre des Bénéficiaires Effectifs.
- Assurer un suivi administratif et juridique des OPC, notamment lors de la constitution, d’assistance juridique OPC, de suivi de contrats, de rédactions et/ou suivi de résolutions circulaires, de démarches relatives aux mandats des dirigeants, de communication auprès des régulateurs, d’organisation et de sauvegarde de la documentation officielle.
- Assurer tout suivi ou démarche nécessaire au sein de l’activité afin de garantir le respect des obligations légales, règlementaires, et des standards de gouvernances.
**PROFIL**
- Min. Bac+3 en droit des sociétés / gestion / administration
- Plus de 3 ans d’expérience dans la domiciliation ou le secrétariat juridique des OPC Luxembourgeois
- Maîtrise des règlementations applicables aux OPC, les connaissances en structuration d’OPC sont un atout.
- Respect des procédures et des délais, rigueur, organisation, capacités d’analyses et de communication
- Maîtrise de la langue française et de la langue anglaise
- Bon niveau des outils informatique Excel, Word et Outlook
