We are currently looking for a colleague to join our Corporate Governance Team. The Group Company Secretary is a senior role, reporting to the Chief of Staff and CEO Office. The Group Company Secretary ensure that the Group comply with legal, regulatory and governance standards. The Group Company Secretary also provides advice and supports the Groups senior Boards (Management and Supervisory Boards) as well as key Group Committees on a range of corporate matters. The role will ensure and drive quality standards across the group and support internal governance policies across its entities. The Group Company Secretary proactively engages with key stakeholders.

**Key Responsibilities**:
**Corporate Governance**:

- Ensure the Group and legal entities comply with corporate governance best practices. Monitor compliance with legal, statutory and regulatory requirements.
- Coordinate the preparation, distribution and filing of Board and Shareholder meeting agendas, minutes and resolutions.
- Ensure and enhance the maintenance of corporate records, including registers of members, directors, and secretaries.
- Manage the flow of information.
- Ensure the implementation of resolutions passed.

**Process Improvement**:

- Ensure transparency on key group relevant decisions, resolutions and process amendments.
- Drive harmonization efforts across all legal entities ensuring a high level of quality and standard is applied for governance processes across the Group.
- Identify and drive improvements to governance processes and administrative systems.
- Contribute to the development of best practices for the Group's governance framework.
- Continuously enhance and drive amendments to increase accuracy and efficiency around corporate governance frameworks. Ensure best practices from industry standards are applied in terms of digitalization and tool support.

**Communication and Liaison**:

- Point of contact between the Board(s), management, and external stakeholders, including regulators, shareholders and auditors.
- Responsible for liaising with the Chairs of the Germany, Lux and Ireland Supervisory and Management Boards to ensure strong coordination of governance in line with legal / governance requirements the Group as a whole
- Drive the content and ensure governance procedures in cooperation with the Board(s) and management.
- Support meetings and management of correspondence related to governance matters.
- Advice on matters of corporate risk, shareholder relations and business operations in coordination with respective Group functions.

**Administrative Tasks**:

- Organize and attend various board and committee meetings.
- Support filings with regulatory authorities, such as annual returns and changes in corporate structure.
- Support company governance processes such as annual external audit procedures.
- Assist in drafting and reviewing governance-related documents, including project charters, templates used for group corporate governance, resolution drafting.
- Maintain and update statutory registers and company records.
- Manage the incorporation, restructuring or dissolution of subsidiary companies if required and in cooperation with respective Group functions.

**Compliance / Regulatory Monitoring**:

- Monitor changes in relevant legislation and regulatory requirements.
- Advice Board of Directors and Senior Managers on corporate governance issues, including changes in compliance or regulatory requirements. Support the implementation of respective amendments.

**Your skills and experience**:

- Minimum of 2-5 years experience in a company secretarial or legal role or compliance role. Experience with regulated entities ideally in Luxembourg and or Germany.
- Degree in law, business or related fields
- Previous experience working with boards, Shareholders and top-level management.
- Leadership and team management experience, ideally in multi-jurisdiction environment.
- Strong knowledge of corporate law, regulatory compliance and governance structures preferably in Germany and Luxembourg.
- High level of integrity, strong ethical standards and confidentiality
- Ability to manage multiple stakeholders and competing priorities / demands
- Excellent communication skills. Strong problem solving and strategic thinking availabilities
- Fluency in English and German
