**Legal Counsel : The Function**
- Responsibility / assistance for preparation of legal documentation (corporate formation documents such as articles of incorporation / powers of attorney / KYC documentation,liquidation documentation)
- Board meeting minutes, annual general meetings, extraordinary general meetings,
- Intercompany loans / financing instruments and related documentation (with the support of local tax advisors).
- Responsibility / assistance for review of Luxembourg law related aspects of transactional legal documentation and for instruction of local counsel in relation to the same where necessary.
- Assistance for the review of non-Luxembourg law governed legal documentation relating to the subsidiaries of the **Luxembourg SPVs.**:
- Responsibility of the financing instruments in place for each Luxembourg SPVs or to be implemented.
- Responsibility for reviewing and reporting on any legal risk within the Luxembourg platform.
**Legal Counsel : Your Profile**

- You hold a **Master's degree** in law or equivalent.
- Minimum of **5 years** of relevant experience as a Legal Counsel in **Luxembourg** and a previous experience as a Lawyer (List 1 at the Luxembourgish bar)
- Strong negotiation, drafting, and legal analysis skills.
- Ability to communicate effectively in **English and French**, others languages will be considered as an asset.
- Excellent understanding of Luxembourgish and international laws and regulations
- You are capable of managing a high volume of work and prioritize your tasks
