**Your mission**:
Administrative and Legal Formalities:
- Manage and ensure the completion of administrative and legal formalities, including answering client inquiries related to written resolutions and the filing of documents
- Draft and prepare internal and external legal documents such as board resolutions, loan agreements, and proxies
Meeting Organization and Documentation:
- Independently organize and lead board and shareholder meetings, including drafting minutes and preparing necessary documentation (convening notices, proxies, agreements, and resolutions)
- Ensure accurate and timely filing of meeting documentation and action items
Corporate Calendar and Contract Register:
- Maintain and monitor a corporate calendar for all clients, ensuring deadlines and key dates are adhered to
- Maintain and update a contract register, ensuring all agreements are accurately recorded and tracked
Document Filing and Compliance:
- Ensure strict adherence to filing protocols and maintain up-to-date documentation for all clients in compliance with internal and external procedures
- Draft and file documents for the RCS, including registrations, filings, and the uploading of financial statements
Legal Correspondence and Reporting:
- Support the preparation of various types of legal correspondence, reports, and other documents as required
- Liaise with different stakeholders to facilitate communication and ensure all legal and administrative matters are handled efficiently
**Your profile**:
- Proven experience in a similar role within corporate governance, legal administration, or a related field of Alternative Investment Funds in Luxembourg
- Strong understanding of legal documentation and corporate compliance requirements
- Excellent organizational skills with the ability to manage multiple tasks and deadlines
- High level of autonomy and the ability to lead meetings and handle responsibilities independently
- You are eager to learn and motivated to satisfy our clients’ expectations
- You have a strong attention to detail
- You have great social skills and enjoy working in a team
- Exceptional written and verbal communication skills
- Proficiency in maintaining detailed records and files in accordance with strict protocols
- You are fluent in English; German will be considered an asset
