For our office in Luxembourg, we are currently looking for a Legal Manager

The Legal Manager holds a key role within the Luxembourg office of H2O Partners. This position is responsible for overseeing and organizing all legal matters related to the firm's clients, ensuring compliance with applicable laws and regulations, and providing strategic legal support.

The Legal Manager
may also assume responsibility for managing one or more junior, mid-level and senior legal professionals, contributing to team development and knowledge sharing.

More specifically, the tasks of the Legal Manager
are:

• Maintaining the client companies under the supervision of the Luxembourg office in good legal and compliance standing.
• Strong business development experience with proven track record.
• Drafting, reviewing and revising all types of legal documentation required, including but not limited to service agreements, board and shareholders resolutions, articles of association, different types of loan agreements and other legal documents and agreements.
• Identify, analyse, and independently respond to legal and regulatory requests from clients and Luxembourg authorities, providing clear, accurate advice from a Luxembourg law perspective.
• Provide in-house legal counsel on a broad range of matters including corporate law, regulatory issues, and cross-border transactions.
• Pro-actively and independently organize and coordinate transactions with clients and other third parties involved.
• Being responsible for the co-ordination, follow up and content of various meetings (internal and external).
• Being the first point of contact concerning legal and compliance matters for colleagues, shareholders, clients and other relevant parties and advisors.
• Responsible for the maintenance and supervision of the quality of legal records and implementation of the company's AML/CFT policies and internal processes.
• Respecting all regulatory obligations, ensure full compliance with Luxembourg company laws and EU regulations.
• Develop and implement internal policies, procedures, and legal templates to support business objectives.
• Providing a balanced planning and organization of work (quality and quantity).

He/she is supplementary to the other team members of the Luxembourg office, is not afraid to put forward his / her own opinion but is also capable of adjusting this opinion to the standards of (higher) management.

Required Qualifications / Skills:

University Degree (Bachelor's and/or Master's) in law or similar;

Between 7-10 years of relevant working experience, e.g. in (a combination of) international corporate law, real estate or private equity environment;

In-depth knowledge of Luxembourg corporate, financial, and commercial law.

Fluent written and spoken English. French and/or German is a strong asset.
