**JOB DESCRIPTION** Job summary**:
This position is responsible for the day to day company administration for a number of our clients. The position will be based in our Senningerberg, Luxembourg Office.

**Job responsibilities**:

- Preparation of board and committee papers, drafting of minutes of meetings, drafting of circular resolutions & attendance at board and shareholder meetings
- Preparation of statutory filings
- Liaison and filing with CSSF, RCS, Luxembourg Stock Exchange and the Luxembourg tax authorities
- Ensure timely delivery of all client outputs (including those originating from outsource service partners) for own clients and team
- Supervision of more junior team members in the absence of the team manager
- Adopt flexible approach to ensure client deadlines are met and/or initiate corrective action when service levels fall short of standard
- Ensure full functional understanding of (and compliance with) operational risk processes & controls to identify and remediate any risk issues in accordance with internal risk policies

**Required qualifications, capabilities and skills**:

- ICSA qualified or equivalent legal/company secretarial qualification
- Experience providing company secretarial support to Luxembourg domiciled companies
- Minimum five years’ experience in company secretarial or legal role
- Knowledge of Luxembourg Commercial Law and fund administration, CSSF rules and regulations in respect of all Luxembourg regulated companies and funds & Rules and Regulations of the Luxembourg Stock Exchange
- Knowledge of Corporate Governance best practice
- Must have the ability to work accurately under pressure and to tight deadlines
- Excellent presentation, interpersonal and communications skills with excellent organization skills and the ability to multi manage tasks

**Preferred qualifications, capabilities and skills**:

- Fluency in an EMEA languages is highly advantageous
- Experience providing company secretarial support to private equity vehicles would be advantageous
