Our client is a prestigious investment manager with a team dedicated to funds investing in real assets in the EMEA region. They are looking for a Senior Manager to take corporate governance responsibilities for various alternative investment structures and manage a team of experienced associates.

You'll speak fluent English and thrive in an international and demanding environment where your exceptional organisational skills will be key. You will be responsible for the organisation and efficient running of the corporate life-cycle of the fund entities, liaising between the Board and management, and coordinating board meetings, whilst ensuring processes and controls are effective.

Your responsibilities:

  • Management of a senior team ensuring strong leadership and team development
  • Scheduling board meetings, board packs and agendas for various company entities
  • Ensuring clear and complete documentation of board minutes and decisions
  • Submissions to the Board; and from the Board to the Shareholder
  • Maintenance of statutory registers for Luxembourg subsidiary entities
  • Conduct research to support Board discussions and decision processes
  • Coordinating the provision of reporting for the annual general shareholder meeting
  • Coordinating the production and execution of board resolutions
  • Maintain key external relationships with external counsel and local accountants/auditors, and monitor compliance
  • Effectively manage direct report(s) ensuring appropriate and timely performance management and development discussions

To be considered for this role, you will:

  • Speak fluent English to an excellent level and have prior Luxembourg experience and a current permission to work
  • Have strong knowledge of alternative investment funds
  • Possess excellent people management skills and have prior people management experience
  • Possess a university degree in law, or in a relevant field
  • Possess a minimum of 8+ years of relevant legal/corporate governance experience
  • Have strong experience required in company secretarial and administrative matters with a Luxembourg holdings and funds
  • Strong management and interpersonal skills; effective and impressive communicator
