The company has been providing financial services to the UK market since 1815. The company sells products through independent financial advisers, direct to customers and through LBG bank branches. Scottish Widows employs around 3,000 people.


To ensure continuity of servicing of its existing EU business after the UK's exit from the EU, Scottish Widows established Scottish Widows Europe, as a fully-owned subsidiary in Luxembourg, authorized to conduct run-off insurance business in Europe ("SWE").

The portfolio of SWE is largely represented by with profit policies originally sold through the Clerical Medical Brand but also include unit-linked policies.

This results in a book of c€ 2 billion assets, with approximately 75,000 customers.

Since March 2019, the business is handled from Luxembourg, through branches in Germany and Italy and with outsourcers in Germany, Italy & Luxembourg providing customer and policyholder administration.


We currently have an outstanding opportunity for a Knowledge Management Lawyer & Assistant Company Secretary, to join a diverse and inclusive team in Luxembourg and to work in an international and informal environment.


Reporting into the Head of Legal and Company Secretary, you'll be responsible for the monitoring of all legal and regulatory requirements relevant for SWE and its operations in Luxembourg, Germany, Austria and Italy.

You'll take ownership for the knowledge management of SWE and provide training to colleagues and suppliers on relevant topics.

You'll support the Head of Legal by performing research and providing legal advice to SWE senior management and internal partners.

You'll work in collaboration with business colleagues across the various business areas of the Insurance, Pensions and Investments business unit ("IP&I") and Group functions and with other Legal, Corporate Secretariat and Compliance Teams.


You'll also provide professional governance advice and assistance to the Company Secretary, the Management Committee and the Board of Directors of SWE.

As Knowledge Management Lawyer, you'll:

  • Identify and monitor relevant Luxembourgish, German, Austrian and Italian legal and regulatory developments, as well as EU regulations and guidelines,
  • Conduct excellent research on various matters,
  • Provide regular updates on legal and regulatory developments and trends,
  • Contribute to the drafting of legal reports and internal communications,
  • Work on briefing notes to outsourcers,
  • Prepare and deliver presentations and training, coordinate knowhow meetings and actively share knowledge,
  • Manage, control and review legal documents,
  • Capture internal knowhow and ensure appropriate dissemination,
  • Provide input and advice for the development of relevant policies and procedures.

As Assistant Company Secretary, you'll:

  • Prepare, coordinate, attend and minute meetings,
  • Ensure the daytoday compliance of SWE with the relevant applicable laws, statutory and regulatory obligations, including but not limited to making filings with the trade register, maintaining the statutory registers and corporate files,
  • Manage the full lifecycle of board, committee and shareholders meetings including drafting agendas and followingup on all action points,
  • Attend meetings and take timely, effective and accurate minutes,
  • Follow and maintain internal processes and policies, ensure alignment with Group policies, and coordinate the annual review of SWE policies and addendums,
  • Maintain the governance framework documents and terms of reference, as well as the organisational chart of SWE, list of authorised signatories and internal database up to date,
  • Act as point of contact for board members and internal and external advisers,
  • Respond to KYC/DD queries and information requests from internal teams and external advisers,
  • Assist in the preparation of annual board and committee selfevaluation, as well as with the annual individual fit & proper review for all legal entity officers and the review of conflicts of interest,
