THE ROLE:DO Recruitment Advisors has an outstanding opportunity for a Legal counsel to join a diverse and inclusive team in Luxembourg and to work in an international and informal environment. Reporting to the Head of Legal and Company Secretary, that expert in law will be responsible for the monitoring of all legal and regulatory requirements relevant for our Luxembourg client and its operations in Luxembourg, Germany, Austria and Italy.

You will take ownership for the knowledge management of our client and provide training to colleagues and suppliers on relevant topics.

You will support the Head of Legal by performing research and providing legal advice to the senior management and internal stakeholders.

You will work in collaboration with business colleagues across the various business areas of the Insurance, Pensions and Investments business unit and Group functions and with other Legal, Corporate Secretariat and Compliance Teams.

You will also provide professional governance advice and assistance to the Company Secretary, the Management Committee and the Board of Directors of the company.


As Knowledge Management Lawyer, the tasks involve:

  • Identify and monitor relevant Luxembourgish, German, Austrian and Italian legal and regulatory developments, as well as EU regulations and guidelines,
  • Conduct excellent research on various matters,
  • Provide regular updates on legal and regulatory developments and trends,
  • Contribute to the drafting of legal reports and internal communications,
  • Work on briefing notes to outsourcers,
  • Prepare and deliver presentations and training, coordinate knowhow meetings and actively share knowledge,
  • Manage, control and review legal documents,
  • Capture internal knowhow and ensure appropriate dissemination,
  • Provide input and advice for the development of relevant policies and procedures.

As Assistant Company Secretary, the tasks involve:

  • Prepare, coordinate, attend and minute meetings,
  • Ensure the daytoday compliance of the company with the relevant applicable laws, statutory and regulatory obligations, including but not limited to making filings with the trade register, maintaining the statutory registers and corporate files,
  • Manage the full lifecycle of board, committee and shareholders meetings including drafting agendas and followingup on all action points,
  • Attend meetings and take timely, effective and accurate minutes,
  • Follow and maintain internal processes and policies, ensure alignment with Group policies, and coordinate the annual review of the company policies and addendums,
  • Maintain the governance framework documents and terms of reference, as well as the organisational chart of the company, list of authorised signatories and internal database up to date,
  • Act as point of contact for board members and internal and external advisers,
  • Respond to KYC/DD queries and information requests from internal teams and external advisers,
  • Assist in the preparation of annual board and committee selfevaluation, as well as with the annual individual fit & proper review for all legal entity officers and the review of conflicts of interest,
  • Support the provision of inductions and ongoing training to directors.

THE CANDIDATE PROFILE:

  • EU qualified lawyer,
  • At least 3 years of experience as a practicing or inhouse lawyer in Luxembourg, to include experience in Luxembourg company and insurance laws,
  • Multijurisdictional experience,
  • Passionate about laws and their evolution,
  • Outstanding organizational and excellent communication skills,
  • Sound understanding of the legal and regulatory requirements in Luxembourg and other EU jurisdictions, with knowledge of the Luxembourg AML/CTF framework and of the EU General Data Protection Regulation being preferable,
  • Experience in legal and regulatory monitoring,
  • Proficient in French and English, German or Italian would be a plus,
  • Excellent drafting skills, experience in minute taking, attention to details and quality,
  • Excellent time management and prioritizing skills required to address a large number of requests within set deadlines,
  • Good command of MS Office tools (Word, Excel, Powerpoint, Outlook, etc.) and Adobe, experience of electronic board packs (Board Intelligence),
  • Able to demonstrate key behavioural capabilities including ownership, proactivity, teamwork, agility.
