Role Objective
To provide legal advice to the Company and its Luxembourg and foreign subsidiaries (the “Group”) with respect to minimizing the Group’s exposure to legal and regulatory risks whilst maximising the risk adjusted return on the Group’s investments.
Core Responsibilities
The in-house legal counsel will be responsible for:
- providing legal support in relation to (i) day-to-day operations of the Group, (ii) its compliance with applicable laws and regulations, (iii) investment transactions of the Group and their coordination and execution focusing on transactions related to alternative investments (Real Estate, Private Equity, Infrastructure)
- review and negotiation of contracts and agreements, ensuring compliance with applicable laws and regulations
- performing legal research, monitoring amendments to laws and regulations, and advising on their implications on the Group
- understanding the basic commercial objectives of each transaction and providing pragmatic, business-oriented legal input to internal stakeholders
- ensuring compliance with internal policies, approval processes and governance frameworks
- liaising with and supporting the management of external legal counsel, including reviewing outputs and monitoring timelines and deliverables
- ensuring timely delivery of high-quality work products in a fast-paced environment
- collaborating with internal stakeholders across departments and contributing to cross-functional projects
- identifying key risks and issues appropriately and seeking guidance where required
This role requires close collaboration with individuals from ADIA’s investment departments and legal division.
Qualifications and Experience
- Law degree from reputable university
- Minimum 4 years of PQE within Corporate Commercial / M&A department of top tier firm ideally with experience supporting transactional work acting lead counsel for clients in areas related to alternative investment (private equity, real estate, infrastructure)
- Additional experience within investment funds, capital markets and / or banking and finance will be a plus
- Prior in-house experience at a reputable financial institution or asset manager is advantageous but not required
- Technical legal skills gained through involvement in transactions across major legal jurisdictions
- Demonstrated interest in legal matters related to alternative investments (private equity, real estate, infrastructure), including structuring aspects
- Good project management and coordination skills, with the ability to manage competing priorities and meet deadlines
- Pro-active, solution-oriented team player with strong attention to detail and a willingness to learn and develop
- Strong organizational and time management skills
- High level of integrity, professionalism and ethical standards
- Strong verbal and written communication skills with excellent command of English, and ability to explain legal concepts clearly to non-legal stakeholders
- French and / or German language skills are a plus
