Our Client is a leading financial services provider offering regulatory and administrative solutions to investment managers and institutional clients worldwide.


They are seeking a Senior Manager / Director – Corporate Secretarial Services to lead a Corporate Secretarial Services team delivering to a strategically important client with a complex portfolio of underlying entities and relationships.



Your areas of responsibility:


  • Draft, implement, review and refine controls, processes, procedures, manuals, trackers and billing controls across the team and the wider Corporate Secretarial function
  • Own team KPI reporting and performance outcomes, identifying trends, implementing corrective actions and driving continuous improvement
  • Oversee invoicing for the team's services
  • Lead and manage projects affecting team operations
  • Drive adoption, optimisation and governance of entity management systems, board portals and other technology solutions
  • Take on corporate secretarial tasks for flagship clients
  • Support and/or oversee board support activities, including meeting organisation and coordination, preparation and distribution of materials, drafting and review of minutes, post-meeting actions and resolutions
  • Maintain strong knowledge of fund corporate governance and regulatory filing requirements
  • Manage administrative tasks including regulatory filings, RBE register updates, RCS deposits, document execution, safekeeping and legalisation processes
  • Hold responsibility for a strategically significant client relationship with a complex portfolio of underlying clients and stakeholders
  • Attend client meetings, pitches and service calls
  • Manage and oversee team performance, monitoring and directing activity to ensure delivery within agreed timeframes and procedures
  • Provide guidance, training and mentorship to team members
  • Support recruitment efforts for the team and wider function
  • Act as final escalation point for team queries
  • Monitor and assess performance of direct reports, conducting appraisals and allocating work



Your profile:


  • 9+ years of experience in funds-related company secretarial roles
  • CGI, ILA or other relevant governance qualification preferred
  • Proven track record leading and building high-performing teams
  • Experience managing complex fund structures
  • Experience implementing process improvement initiatives
  • Familiarity with entity management and board portal technology
  • Strong knowledge of Luxembourg corporate and fund regulations
  • Excellent communication skills and strong attention to detail
  • Fluent in English (written and spoken)
