Carne Group is looking for an experienced Funds Lawyer with a strong distribution and marketing background to join our growing company, based in our Luxembourg office. What are the minimum requirements you need for the role? Qualified Lawyer with 4 to 5 years’ experience in a legal role in the funds industry, with a strong focus on fund distribution, marketing and placement activities. Experience with and general knowledge of the laws and regulations impacting core functions of the AIFM and UCITS management company businesses (AIFMD, UCITS Directive and their related evolving regulatory, compliance and governance environment ) is required. Particular knowledge and experience in MIFID and PRIIPs requirements as well as EU cross border distribution framework (CBDF, ESMA Guidelines) are essentials. Previous experience as in-house legal advisor at a distribution platform would be an asset. Fluent English (written and spoken) essential. Additional languages would be advantageous. Who are we looking for? Due to our successful and growing Management Company and AIFM business we are currently looking for an experienced Funds Lawyer with a distribution and marketing background to join the Legal team based in Luxembourg. The role will be dedicated to supporting all legal and regulatory aspects of fund distribution, marketing, placement and related contractual and commercial arrangements. What is your role and your responsibilities? Supporting the business from a legal and regulatory perspective in Luxembourg. The role will have a primary focus on fund distribution, marketing and placement activities, and all responsibilities below should be understood in that context. Legal review of fund documentation, including distribution agreements, placement agent agreements, rebate agreements and other related arrangements. Drafting and negotiating agreements, including placement agent agreements, rebate and fee-sharing arrangements, terms of business agreements and other related documentation, as well as reviewing relevant provisions in prospectuses and other fund launch documentation. Advising and supporting the business generally and Carne's teams on all related legal and regulatory issues, including cross-border passport requirements. Advise and assist Carne Directors and Conducting Officers on relevant regulatory matters. Assist with business development, sales activities and client services teams as required, including in relation to channel structuring, product strategies and special project work. Liaising with external legal advisers and/or client's counsel. Assisting with drafting and implementing regulatory documents, policies and procedures, including notification filings and related regulatory submissions. What Competencies do you require? Ability to develop excellent client relationships and to seek out other business opportunities, with a strong understanding of fund distribution channels and market practices. Proven ability to handle multiple projects simultaneously in a dynamic business and regulatory environment. Highly organised individual. Energetic and solutions-based team player who is willing to help and support your colleagues. Creative and practical in your approach to work and capable of delivering the required solutions to our Clients. Comfortable working in a constant and rapidly changing environment.
