We have an exciting opportunity for an experienced Company Secretarial professional to join Carne as a Senior Manager within the Luxembourg Company Secretarial team. The successful candidate will combine strong Luxembourg funds and corporate governance expertise with proven people leadership, client relationship management and operational oversight. They will take ownership of a varied portfolio of regulated and unregulated Luxembourg entities, act as a trusted governance partner to boards and clients and help lead the continued development of the team and its service offering. What are the minimum requirements you need for the role?
• Bachelor's degree in law, business, corporate governance, accounting, finance, or a related discipline. A relevant professional qualification in company secretarial practice, governance or law would be advantageous.
• At least seven years’ relevant company secretarial or corporate governance experience within financial services, including substantial experience in the Luxembourg funds industry and several years in a management or senior leadership role
• Strong practical knowledge of the Luxembourg funds industry and the governance of Luxembourg investment fund and corporate structures, including regulated and unregulated vehicles.
• Sound knowledge of Luxembourg company law, applicable fund legislation, CSSF requirements, constitutional documents, statutory registers and RCS/RESA filing requirements.
• Proven experience managing a complex client portfolio, overseeing board and shareholder governance processes, and delivering consistently high-quality service within agreed deadlines.
• Demonstrable people-management experience, coaching, performance support, quality oversight and development of team members.
• Excellent written and spoken English. Knowledge of French, German or another European language would be an advantage. What is your role and your responsibilities?
• Lead and oversee a varied portfolio of Luxembourg-domiciled regulated and unregulated fund and corporate entities, ensuring that all company secretarial and governance deliverables are completed accurately, consistently and on time.
• Oversee the end-to-end preparation and delivery of board, committee and shareholder meetings, including annual meeting planning, agendas, board packs, minutes, action logs, written resolutions and post-meeting follow-up.
• Review and approve complex minutes, resolutions, notices, proxies, certificates, statutory records and other governance documentation, maintaining a high standard of legal accuracy, clarity and consistency.
• Ensure that entities comply with their constitutional documents, Luxembourg company and fund legislation, applicable CSSF requirements, governance arrangements, statutory filing obligations and internal control standards.
• Oversee statutory books and registers and the timely completion and quality control of filings and publications with the RCS, coordinating with notaries, legal advisers and other service providers where required.
• Act as a senior point of contact and trusted governance adviser for clients, boards, investment managers, legal counsel, administrators, depositaries, auditors and other key stakeholders.
• Support client onboarding, entity launches, restructurings, changes to boards or governing bodies, amendments to constitutional documents, liquidations and other corporate events from a company secretarial perspective.
• Lead, coach and develop managers, senior associates and associates within the Luxembourg Company Secretarial team, setting clear expectations and promoting accountability, collaboration, knowledge sharing and high performance.
• Plan and monitor workloads, capacity and meeting schedules across the team, ensuring appropriate allocation, effective cover, timely delivery and sustainable working practices during peak periods.
• Monitor relevant developments in Luxembourg company law, fund regulation, governance practice and market expectations, translating changes into practical guidance, training and process updates for colleagues and clients.
• Champion continuous improvement, digitalisation and responsible use of technology within the Company Secretarial function, helping to simplify workflows, strengthen controls and improve the quality and timeliness of delivery.
• Collaborate effectively with colleagues across Luxembourg and the wider Carne Group on governance, risk, compliance, client service and strategic initiatives.
• Deputies for the Luxembourg Company Secretarial leadership as required and represent the function in relevant internal and external forums. What competencies do you require?
