A. is an independent financial and corporate services provider, based in Luxembourg, with headquarters located in Luxembourg city and part of the Engelwood network, built up around the One Stop Shop concept, providing tailored solutions with high level of expertise. The company is a Professional of the Financial Sector regulated by the Luxembourg supervisory authorities (Commission de Surveillance du Secteur Financier -CSSF) and provides incorporation, domiciliation, transfer agency and central administration services to regulated (and unregulated) investment vehicles, with a primary focus on private equity, real estate and private debt structures. Due to the increase in current and future business, we are currently looking for a Senior Corporate Officer to join our company. As an operational reference point within the team, you will handle complex cases with a high degree of autonomy, contribute to the quality and continuity of the function, and support the development of junior colleagues.
Key responsibilities
• Manage autonomously the day-to-day corporate administration and governance of a complex and diversified portfolio of entities (investment funds across asset classes, SPVs, non-regulated entities) within a PSF environment
• Take full ownership of the corporate lifecycle of entities from incorporation to liquidation, ensuring high-quality and timely delivery
• Lead the drafting, review and coordination of complex corporate documentation (service and domiciliation agreements, loan and financing agreements, powers of attorney, board minutes and other legal documents)
• Oversee and coordinate board and shareholder meetings for SPVs and funds, including preparation and critical review of board packs, and ensuring timely follow-up on governance action points
• Act as a senior point of contact for a portfolio of clients, handling complex queries with a high degree of autonomy and professionalism, and escalating only to management when required
• Oversee bank account opening processes and manage relationships with financial institutions, ensuring compliance with internal policies
• Coordinate and oversee annual audit processes for SPVs and funds, acting as key liaison with external auditors
• Drive effective collaboration with external stakeholders (clients, investors, AIFMs, depositary banks, auditors, lawyers, notaries)
• Oversee AML/KYC processes in coordination with the Compliance team, including onboarding, periodic reviews and ongoing monitoring
• Ensure timely and accurate statutory filings and publications with the Luxembourg Business Register and other regulatory authorities
• Maintain ultimate responsibility for the accuracy and integrity of registers and internal databases within the assigned portfolio
• Mentor and support Corporate Officers and Junior Officers, reviewing their work, providing guidance, and contributing to their professional development Requirements – Background:
• 3–5 years of experience in a similar role within a fiduciary, PSF, fund administrator or corporate services provider in Luxembourg
• University degree in Law, Economics, Finance or a related field
• Strong knowledge of Luxembourg company law; knowledge of fund structures required
• Demonstrated ability to handle complex cases autonomously and mentor junior colleagues
• Advanced proficiency in English (written and spoken) and working proficiency in French are required; Italian or Spanish would be considered an asset.
• Sound knowledge of AML/KYC and regulatory frameworks (RBE, FATCA, CRS)
• Proficient in MS Office tools; familiarity with fund administration systems is an asset The salary package offered will be commensurate with your professional expertise and experience.
