What you'll be doing As our Corporate Governance Counsel, you'll connect the dots between corporate structure, regulatory expectations, and business strategy to shape the future of Satispay's governance. Here's what that looks like in practice: Regulatory Governance (Circular CSSF 26/906) — Lead the legal implementation of the regulatory framework on internal governance and central administration, ensuring governance arrangements between the Supervisory and Management Bodies are robust and transparent. Corporate Administration & Substance — Support the relevant corporate bodies to ensure that decision-making processes and administrative centres are legally sound and compliant with the latest regulatory expectations. Board & Committee Management — Direct the legal management of the Board of Directors, relevant committees, and Shareholders' meetings, drafting complex minutes and resolutions. Corporate Legal Strategy — Proactively identify governance upgrades needed as we scale and advise on organisational design from a governance/regulatory lens. Who we're looking for This role needs someone strategic, rigorous, and commercially minded to drive governance excellence across our legal entities. Background — You are a lawyer with 7 to 10 years of experience built in top-tier Luxembourg or international law firms, ideally complemented by significant in-house experience in regulated Fintech, Banking, or Insurance companies. Luxembourg Regulatory Mastery — You possess a deep understanding of the Luxembourg regulatory landscape. Governance Expertise — You have a proven track record in managing complex corporate governance structures. Strategic & Risk-Based Approach — You can balance strict regulatory requirements with business agility, providing out-of-the-box legal solutions that manage risk effectively. Communication & Influence — You are confident in advising senior management, the Board of Directors, and external stakeholders with clarity and professional judgment. Language Proficiency — You are fluent in English. Knowledge of French and Italian is considered a plus. Don't worry if you don't tick every box.
