Corporate Lawyer / Corporate M&A Lawyer (m/f/d)

Luxemburg Permanent Employment | Full-time | Luxembourg About our client For several established and internationally oriented law firms in Luxembourg, artevie is looking for experienced Corporate Lawyers / Corporate M&A Lawyers (m/f/d) to strengthen their legal teams. Our clients advise international and local companies, financial institutions, investment funds, private equity investors, entrepreneurs and other sophisticated clients on a broad range of corporate and transactional matters. The positions offer the opportunity to work on interesting national and cross-border mandates, take on responsibility for client matters and further develop your career within a professional and international legal environment. Your responsibilities Depending on your experience and area of expertise, your responsibilities may include:
• Advising local and international clients on corporate law and corporate transactions
• Supporting and/or leading M&A transactions, private equity investments, joint ventures and corporate reorganisations
• Advising on incorporations, acquisitions, disposals, mergers, demergers, restructurings, recapitalisations and liquidations
• Advising clients on corporate governance, shareholders' matters and general corporate law issues
• Drafting, reviewing and negotiating share purchase agreements, shareholders' agreements, corporate resolutions and other transaction documents
• Supporting financing, refinancing and security-related transactions where relevant
• Conducting legal research and preparing legal opinions and memoranda
• Coordinating with clients, counterparties, notaries, service providers and other advisers
• Participating in client meetings and conference calls
• Working closely with colleagues from other practice areas and international jurisdictions
• Depending on seniority, taking responsibility for client relationships, transaction management and/or junior team members
• Contributing to business development and the further development of the practice
Your profile
• We welcome applications from lawyers with a genuine interest in corporate and transactional law and relevant professional experience. You ideally have:
• A university degree in Law (Master's degree or equivalent)
• Qualification as a lawyer / admission to the Bar in Luxembourg or another European jurisdiction
• Relevant professional experience in Corporate, Corporate M&A, Private Equity, Commercial or related transactional practice
• Strong knowledge of corporate law and experience with transactional documentation
• Excellent analytical and drafting skills
• A pragmatic, solution-oriented and client-focused approach
• The ability to work independently as well as effectively within a team
• Strong organisational skills and the ability to manage several matters and deadlines simultaneously Languages:
• Excellent command of English is required
• French and/or German are considered a strong advantage We are open to candidates with different levels of experience, from junior to senior lawyers, depending on the specific position and practice requirements.
