On behalf of our client, an international Financial Services structure, we are looking for the following profile:
**Senior Corporate Secretary (M/F)**
**Mission**:
**Responsibilities**
- Handling a client portfolio for Corporate Secretarial matters, including AML/KYC and compliance aspects
- Handling daily client communication for all corporate and administrative matters as well as communication with third parties
- Day-to-day legal and administration tasks for funds and corporates
- Review and drafting of Board and Shareholder resolutions and related documents such as Board packs, minutes, General Meetings, notarial deeds, and agreements
- Incorporation, administration, and liquidation of companies including handling of all kinds of corporate events
- Coordination and timely filing of Annual Reports including respectively required documentation
- Keeping the funds and related entities in legal good standing
- Collaborating with colleagues in other departments such as Finance, TA, Depositary, AIFM, Compliance, etc
- Maintaining accurate legal records
- Supervising the work of more junior team members, and helping them to develop and grow
- Actively participating in growing and marketing the company's business
**Profile**:
**Profile**
- Degree educated in Law or equivalent
- Minimum of 5 years of relevant working experience in a similar role, ideally in the Luxembourg fund industry (working with alternative investment funds would be considered as advantage)
- Proven knowledge of Luxembourg based structures (SIF, RAIF, partnerships, etc)
- Fluency in English is a must - any other language will be a plus
- PC literate
- Excellent communication and organizational skills
- Ability to multi-task
- Ability to work on own initiative and to be highly disciplined
