**Basic information**: - Job Name: - Principal, Europe Buyout and Tech Corporate Controller - Location: - Luxembourg - Line of Business: - Global Private Equity - Job Function: - Investment Professionals - Date: - Monday, July 7, 2025 **Position Summary**: - The Europe Buyout/Tech team seeks to hire a Principal in the Transaction Support Team to act as a Corporate Controller. The key goal of the Principal is to deliver an efficient structuring of Europe Buyout (CEP) and Technology (CETP) deals in order to optimize (i) business thesis and economic targets, (ii) Carlyle’s constraints and (iii) tax and legal environment. The Principal will ensure there is a consistent structure and approach across CEP and CETP in the various European jurisdictions. The Principal is part of the deal team for CEP and CETP acquisitions and will be instrumental to the coordination of professionals across the Deal Teams and other functions involved in transaction execution. These include Carlyle Fund Management and Fund Tax, Carlyle Legal, Carlyle Lux Platform and outside advisors. **Responsibilities**: - Managing a team of 2 Controllers based in Paris, the Principal will be responsible for: - 1. Development and implementation of tax efficient acquisition and exit structures- Collaboration and discussion about tax structure memorandum with outside tax advisors and internal tax team - establishment and maintenance of acquisition structures - assistance for tax rulings when required, coinvestment structuration - 2. Planning of deal acquisitions and disposals- discussion about closing mechanics (closing banks and lenders, governance, compliance), - review of closing funds flows, review of transaction documents for structuring and governance purposes - transaction costs treatment - 3. Interaction Portfolio management- acquisition structures activation and transfer to management of portfolio companies - training management - 4. Management Incentive Plans- Participation to the organization of efficient plans in local jurisdictionscoordination and liquidity planning for joiners and leavers **Qualifications**: **Education & Certificates** - Degree required, specialization in finance/accounting/tax, legal is a plus - Used to work in English **Professional Experience** - 15-20 years of prior experience in Audit, Transaction Services and Tax as well as familiarity with PE deal structuring **Competencies & Attributes** - Strong solutions orientation - Methodical in approach to problems - Ability to work closely with small teams - Team player - Stakeholder management - Management skills **Company Information**: The Carlyle Group (NASDAQ: CG) is a global investment firm with $453 billion of assets under management and more than half of the AUM managed by women, across 641 investment vehicles as of March 31, 2025.
