Senior Legal Manager - UHNW Client | Luxembourg City

Location: On-site, Luxembourg City

We are recruiting a Senior Legal Manager on behalf of a prestigious UHNW client based in Luxembourg City. This is a key strategic role offering exposure to complex international corporate structures, asset transactions, and regulatory matters.

Key Responsibilities:

- Manage all corporate legal matters across the Group, including corporate governance, inter-company loan agreements, restructurings, and regulatory compliance. Support corporate restructuring processes, such as entity migrations, liquidations, and reorganisations. Draft and coordinate the execution of board and shareholder resolutions; maintain accurate records and legal documentation. Review, update, and standardize legal templates, including contracts, resolutions, and powers of attorney (PoAs). Maintain a comprehensive register of legal agreements and PoAs, ensuring timely renewal and tracking of expirations. Draft, review, and oversee execution of a variety of commercial contracts and PoAs. Provide legal support on asset transactions, including acquisitions, disposals, and intra-group transfers. Review and advise on insurance coverage, including the analysis of new insurance contracts. Monitor and communicate relevant legal and regulatory developments across applicable jurisdictions. Liaise with notaries on corporate amendments and notarial matters related to the Group’s structure. Coordinate with external legal advisors and corporate service providers to support the Group’s legal needs. Support KYC and due diligence processes with business partners. Assist in ensuring compliance with GDPR and data protection requirements. Oversee the filing, archiving, and secure retrieval of all legal documentation.

**Profile**:

- Strong legal background with significant experience in corporate law, preferably in a multinational or UHNW environment. Excellent command of English (written and spoken) is mandatory. French is a strong asset. Ability to manage multiple legal matters independently with a pragmatic, solutions-oriented mindset. Highly organized, detail-oriented, and comfortable working in a fast-paced, dynamic setting.

Ability to commute/relocate:
