**Job Description**:
We have an excellent opportunity for an experienced Luxembourg corporate legal professional to join this thriving private equity house, based in the city-centre to join the Legal team as an Associate.

This is a great role for someone with initial experience of debt and equity financing transactions in Luxembourg, who enjoys drafting and running an active portfolio of holding entities. This is a fantastic opportunity for someone who wants to be close to the business, understand the rationale behind the execution of transactions, and be an important part of the business strategy.

In this position, you will:

- Handle the full corporate lifecycle of a range of holding companies from incorporation through to dissolution.
- Act as a Director of the Luxembourg holding companies
- Organise shareholder meetings, prepare resolutions, draft minutes
- Undertake a range of drafting such as board minutes, proxies, PoAs, NDAs, and other standard documentation
- Assist with preparing transaction documentation on a range of debt and equity financing transactions, such as capital increases, loan agreements, etc.
- Handle the incorporation of new entities, preparing all relevant documentation and filings
- Liaise with third parties to ensure the timely preparation of accounts, tax filings, and handle the appropriate filings with the RCS
- Be responsible for the contracts entered into between the holding companies and third parties, draft engagement letters, etc.

To be considered for this role, you must have:

- Prior Luxembourg based experience in a similar role, with a legal education to at least degree level
- Possess fluent English language skills, both written and spoken
- Idealy have prior experience with transactions, ideally debt and equity financing
- A minimum of 2 up to about 5 years’ experience in a similar role
- Be happy wto work beyond the 9 - 5 if there's a transaction closing.
