I am seeking a talented Senior Corporate Officer to join a dynamic and fast growing fiduciary in Luxembourg Cloche d'or. The structure is composed of about 40 employees, divided into different departments (compliance, accounting, legal).
As a Senior Corporate Officer, you will be responsible for organizing, holding, drafting, and following up on board and shareholder’s meetings, coordinating corporate transactions, and ensuring compliance with all legal and regulatory requirements.
**Key responsibilities**:
Organizing, holding, drafting, and following up on board and shareholders’ meetings, including the drafting, execution, signing, and delivery of any related documentation (convening notices, proxies, minutes, attendance lists );
Ensuring that all entities (funds and corporate) are correctly managed from a corporate perspective (approval of annual accounts in particular);
Coordinating corporate transactions for companies such as incorporations, liquidations, capital increases and decreases, etc;
Coordinating and liaising with the investment team, finance team, lawyers, notaries for the execution and delivery of legal documents, apostil and legalization of documents;
Assisting with KYC coordination (together with the compliance and operational teams);
Reviewing, keeping, and archiving all corporate records of the companies (update registers, follow-up for originals delivery/receipts, filings/updates of Luxembourg registers, archiving, etc.).
**Qualifications**:
Ideally a Master degree in Law or similar training;
A minimum of 5-6 years of professional experience in a legal/ corporate/ regulatory environment with a validated experience in Luxembourg;
Strong understanding of corporate governance and legal requirements;
Fluent in French and English and Italian is mandatory;
Good command of Microsoft Office;
Good communication skills with ability to work closely with third parties;
Ability to manage and prioritize multiple tasks.
