**THE COMPANY**:
Our client, a specialist emerging investment manager, are seeking a Legal Officer to join the Luxembourg team.

**THE RESPONSIBILITIES**:

- Drafting of corporate documents (prospectus, contracts, shareholder notices, resolutions, etc.) for the funds Organization
- Drafting and keeping minutes from board meeting, department, and senior management meetings
- Record keeping of Meetings for the Management Companies and Funds and of AGMs and EGMs
- Assisting in the coordination of all aspects of cross-border registration with service provider for Europe, Asia and Latin America
- Liaising with external agents and partners of the funds; ensure availability of fund legal documents and compliance to contract terms.
- Ensure timely appropriate governance approvals; maintaining of the corporate calendar and ensuring timely legal and regulatory filing.
- Assist or coordinate corporate events or corporate action on sub-funds and share classes
- Coordinating and tracking legal activity including contract negotiation, update of legal documents, and obtaining the execution of document.
- General company secretarial housekeeping including management, maintaining and filing all legal documents

**EXPERIENCE REQUIRED**:

- You have a Bachelor’s degree in law or an equivalent university degree;
- You have a minimum of 5 years of experience in a similar position in Luxembourg
- Detailed knowledge of management company and fund industry
- Fluent in English, any other European language is an advantage
- You are well organized, rigorous, proactive, and dynamic
- Able to manage and lead projects or initiatives independently
