**MISSIONS**:

- Rédaction des actes relatifs aux sociétés et fonds d'investissement Luxembourgeois (constitution, acquisition, vente d’actif/sortie, dissolution, approbation des comptes annuels, diverses modifications des documents constitutifs, transferts d'actions, augmentations et réductions de capital, etc. );
- Participation aux transactions liées à l'immobilier, au capital-investissement et à la dette privée passant par le Luxembourg;
- Préparation et suivi des formalités auprès des notaires, du registre du commerce et des sociétés (RCS), du registre des bénéficiaires effectifs (RBE), de la commission de surveillance du secteur financier (CSSF), administration de l’enregistrement, des domaines et de la TVA (AED), de administration des contributions directes (ACD) etc...;
- Etablissement et suivi du calendrier juridique pour les différentes entités luxembourgeoises et suivi des échéances (y compris les réunions trimestrielles de l’organe de gestion);
- Coordination avec les prestataires de services (administration centrale, dépositaires, avocats, domiciliataires, auditeurs, etc.);
- Traiter les questions annexes relatives au droit des sociétés luxembourgeois et aux contrats;
- Maintenir et mettre à jour la base de données interne;
- Tâches administratives inhérentes au poste.

- Draft of all acts and deeds relating to company and investment funds operations (incorporation, acquisition, exit, dissolution, approval of annual financial statements, amendments to constitutive documents, share transfers, capital increases and reductions, etc );
- Involvement in transaction related to real estate, private equity and private debt;
- Preparation and follow-up of legal formalities with notaries, the registre du commerce et des sociétés (RCS), registre des bénéficiaires effectifs (RBE), commission de surveillance du secteur financier (CSSF), administration de l’enregistrement, des domaines et de la TVA (AED), administration des contributions directes (ACD) etc...;
- Establishment and monitoring of the legal calendar for the various Luxembourg entities and follow-up deadlines (including quarterly board meetings);
- Coordination with service providers (central administration, custodians, lawyers, auditors etc.);
- Handling ad hoc issues relating to Luxembourg company law and contracts;
- Maintain and update internal database;
- Administrative tasks inherent to the position.

**PROFILE**:

- [FR]_
- Master 2 avec une formation juridique ou en école de commerce ;
- Expérience d'au moins 3 ans en tant que juriste de fonds, juriste d'entreprise ou équivalent
- Bonne connaissance du droit luxembourgeois des sociétés;
- Capacité de travailler efficacement sous pression et bonne capacité de communication ;
- Des connaissances en matière de comptabilité, de lutte contre le blanchiment d’argent et en fiscalité seraient appréciées.

- Master 2 with a legal or business school background.
- At least 3 years' experience as a fund lawyer, in-house lawyer or equivalent
- Good knowledge of Luxembourg company law;
- Ability to work efficiently under pressure and strong communication skill;
- Knowledge of accounting, anti-money laundering and taxation would be appreciated.
