Your responsibilities
- Actively participating in the review and negotiation process of all services agreements for a third party AIFM (AIFM Agreement, Investment Advisory Agreement, Delegated Portfolio Management Agreement, various engagement letters, NDA, Central Administration Agreement, etc.)
- Actively participating in the review and negotiation process of fund constitutional documents (limited partnership agreements, private placement memorandum, article of association and any other fund-related legal document)
- Taking part in the operations and oversight of pre-marketing and marketing activities for various funds
- Legal support of existing and newly initiated fund products and services (AIFs), in particular with regard to corporate law issues
- Actively coordinating, drafting and regularly updating fund documentation
- Organizing and supporting for the establishment and ongoing administration of direct and indirect subsidiaries of the AIFs managed by IntReal
- Management and implementation of approval and registration processes with the CSSF and other relevant supervisory authorities, in cooperation with external service provider if required
- Preparation and/or review partnership agreements, power of attorney and issue documents
- Preparation and organization of minutes of Intreal general meetings, board meetings, management meetings and other committee meetings
- Analysis, implementation and internal enforcement of legal and regulatory innovations, both withing IntReal and in the context of the managed AIFs
- Review, negotiation and drafting of contracts
- Contact person for supervisory authorities, auditors and external legal advisors
- Coaching and review of junior team member´s work
We expect from you
- Degree in law
- Minimum of 8 years of relevant professional experience in the fund industry, preferably in the areas of law or fund structuring
- In-depth knowledge of the Luxembourg fund and corporate structure, particularly in the area of alternative investment funds (AIFs)
- Sense of responsibility, structured way of working and initiative
- Strong solution orientation and ability to work in a team
- Fluent written and spoken English - German is an asset
