**Engelwood Fund & Corporate Services S.A. is an independent financial and corporate services provider, based in Luxembourg, with headquarters located in Luxembourg city and part of the Engelwood network, built up around the One Stop Shop concept, providing tailored solutions with high level of expertise. The company is a Professional of the Financial Sector regulated by the Luxembourg supervisory authorities (**_Commission de Surveillance du Secteur Financier -CSSF_**) and provides incorporation, domiciliation, transfer agency and central administration services to regulated (and unregulated) investment vehicles, with a primary focus on private equity, real estate and private debt structures.**
- We are currently looking for a **Corporate Officer** to join our company.**Key responsibilities**:
- **Launch/issuance of financial instruments (notes/shares) **through private or Euroclear programs in relation to Fund (PE/RE)/Securitization Vehicles/unregulated entities
- **Management of transactions**: Subscriptions/redemptions/distributions/commitments/capital calls/transfers/switches
- **Creation of investors’ accounts**, including coordination of AML/KYC requirements
- **Acting as point of contact for the investors**:
- **Prepare/review various corporate documentation in relation with the transactions**: assistance with the drafting of the minutes of board of directors/managers, contract notes, various agreements linked to investors’ transactions, notices, checklists, holding statements, FATCA/CRS review and reports
- **Analyse** Prospectuses, Terms and Conditions, data files received from Paying Agent, investments flows
- **Management of vehicles’ codes**: ISIN and LEI
- **Support**, **escalating** **issues** to the Senior Manager in the maintenance of procedures and propose solutions
- **Understanding of operational workflow**:
- **Maintenance of registers and systems**:
- **Coordination with internal departments**:accounting, administration, legal, compliance
- **Coordination with third parties**:clients, advisors, investors, auditors, intermediaries, banks
- **Reporting** to investor and third parties (AIFM, Custodian banks ): investors confirmation, NAV
**Minimum profile requirements**:
- Minimum Bachelor Degree
- Minimum 1 - 2 years of experience in a similar position in a Fiduciary Company or equivalent and/or as Corporate Officer
- Knowledge of the fund industry would be an asset
- Corporate/Legal background would be an asset
- Ability to work to tight deadlines under pressure while maintaining close attention to details
- Ability to work with manual and automatic systems or software
- Self-driven, proactive mindset, eager to learn
- Good communication skills
- Excellent at planning and organizing oneself accordingly
- Abilities to analyse and solve problem
- Fluency in English is mandatory (written and spoken), any additional language will be an asset.
