**Job Description**:

- Summary

Key role in the IRLCORP finance team working with wider global finance team. Responsible for the Mallinckrodt Luxembourg legal entities. This may extend, if required, to Mallinckrodt subsidiaries in other jurisdictions.

Work cross-functionally to ensure Luxembourg subsidiaries internal and external service providers deliver to meet requirements. Service providers will include amongst other services, accounting, tax, treasury, corporate secretarial, procurement, EMEA AP, facilities and IT.

Engage with Dublin based corporate accounting team to ensure accounting, financial statements and statutory audits for Luxembourg entities are completed in line with statutory deadlines and are compliant with Luxembourg requirements.

Appointment to the various Mallinckrodt Luxembourg companies as a director (administrateur, gérant) and performance of all tasks typically performed by the directors of Luxembourg companies. The director is also expected to additionally perform any day to day activities to be seen to by a director of Luxembourg companies.

- Essential Functions
- Financial Accounting/Reporting - Luxembourg GAAP:

- Engage with internal and external service providers to ensure all Luxembourg GAAP accounting is in accordance with Luxembourg requirements and appropriate filings are made
- Review statutory Financial Statements for Luxembourg legal entities to ensure compliant with Luxembourg GAAP
- Review Luxembourg GAAP Accounting memos as prepared by internal and external advisers for material transactions
- Review Finance Board pack for presentation at Luxembourg Board meetings
- Review US GAAP monthly management accounts. Highlight potential Luxembourg GAAP adjustments to internal accounting team/external service providers
- Financial Control/Management:

- Engage with internal and external accounting, tax and legal providers for material transactions examples which may include
- acquisition or disposal of assets, for example participations and interests in Luxembourg and foreign companies
- loan agreements, guarantees, distributions, issuance of shares etc.
- Review annual budget for Luxembourg entities as prepared by FP&A and IRLCORP finance team
- Review monthly management accounts actuals vs budget
- Review and ensure efficient operation of internal controls and business processes
- Support IRLCORP team and internal controls team in ensuring Luxembourg entities are fully SOX compliant
- Highlight additional Luxembourg internal control requirements. Engage internal service providers to implement any such requirements
- Review POs, SOWS, Letters of engagement, invoices, contracts and other supplier related documentation to ensure proper financial management of the Luxembourg entities and alignment with Mallinckrodt policies
- Engage support of internal service providers in procurement, legal, finance, tax and related teams as required
- Tax:

- Engage with internal and external service providers to ensure all Luxembourg tax filings and payments (if any) are made in accordance with requirements
- Review annual Luxembourg Corporate tax returns as prepared by internal/external service providers
- Review Luxembourg tax impact of material transactions supported by internal tax team and external service providers
- Review Net wealth tax, VAT and any other tax returns and filings as prepared by internal/external service providers
- Treasury: Engage with internal treasury, accounting, AP and other required functions to ensure:

- Cash management supports Luxembourg entity requirements
- Debt payment obligations are met in accordance with related loan agreements
- Management of supplier payments, FX exposures, surplus cash investment meets Luxembourg entity requirements
- Corporate Secretarial:

- Engage with internal and external service providers to ensure all Luxembourg filings are made in accordance with requirements and appropriate records are maintained
- Minimum Requirements

Education / Experience / Skills:

- Director on the Board(s) of Luxembourg subsidiary(ies) of MNC for 6+ years.
- Qualified Accountant ACCA (or equivalent) with minimum of 10+ years post qualification experience
- Alternatively Professional tax qualification, with experience in compliance,
- Director of accounting, finance or tax function for 6+ years for Luxembourg legal entities/MNC subsidiaries
- Luxembourg GAAP essential. US GAAP an advantage.
