**Purpose**:
Provide legal advice and take care of legal documentation on financing operations that fall within the scope of the New Product Unit.
**Operating Network**:
The New Products Unit (NPU) deals with EIB new products development and implementation, including corporate finance, thematic finance and structured finance for financial intermediaries (risk sharing, securitisation). The NPU is part of the New Products and Operational Policy Division which also handles a broad range of transversal matters for the Legal Directorate including the legal aspects of implementation of new policy or strategic initiatives, and questions of contractual standards/templates for EIB lending operations.
You will act under the direction of the Head of Unit, in cooperation with other lawyers in the Division and in accordance with the priorities established by the Head of Division.
The post may involve a certain amount of travel for negotiations and signatures of legal documentation.
**Accountabilities**:
- Contribute to the development and implementation of new sustainable finance products including green bonds and high risk corporate finance for breakthrough climate technology (venture debt and thematic finance)
- Manage contacts and negotiations concerning the EIB operations handled by the Division (within and outside the EU), with particular focus on sustainable finance operations
- Draft and negotiate legal documentation for lending and debt capital markets operations including:
- thematic finance and venture debt operations
- green bond and hybrid bond operations
- structured finance operations, including securitisations (on funded and unfunded basis)
- other forms of financing, including risk - sharing structures (on funded and unfunded basis).
- Advise on structuring, provide legal advisory support, finalise contracts, complete all related legal formalities and legal monitoring (including loan restructuring and other post-signature events)
- Procure the assistance external counsel and other consultants in line with the Bank’s procurement policy, liaise and supervise their work
- Contribute to the development of standard legal documentation for EIB operations and to the sharing of knowledge on legal documentation for the Bank’s products
- Contribute to the development and evolution of contractual and operational policy
- Liaise with external consultants and supervise their work
- Conduct legal research and keep up to date with legal developments in legislation, regulations and jurisprudence, to maximise knowledge, develop new financial instruments and offer informed legal advice
- Develop and maintain relationships with other directorates within the Bank and represent the EIB externally
**Qualifications**:
- University degree in law, preferably at Master level
- Qualification or professional experience in either common law or civil law (dual qualification will be an advantage)
- At least 3 years of relevant, professional experience preferably in the field of banking and finance acquired with a firm of international repute or the in-house department of a financial institution
- Significant experience in the drafting and negotiation of finance, debt capital markets and/or equity documentation in English
- Solid experience in the area of finance, debt capital markets and/or equity finance would be an advantage
- Very good knowledge of standard computer tools
- Excellent knowledge of written and spoken English and good knowledge of French (*). Proficiency in any other official EU language would be an advantage.
