**Summary**:
This is a great opportunity to join a small Private Debt / Credit department of a leading global PE house that is growing its legal team in Luxembourg.
You will be part of a hard-working and ambitious team, which is an integral part of the global fund operations, accounting, and legal functions. You will coordinate the day-to-day administration of the Luxembourg companies in compliance with legal requirements and provide support to the deal teams and fund management at the various stages of the investments.
**Key responsibilities**:
- Drafting and/or reviewing the relevant legal documentation and supervision of the administration of all Luxembourg companies (including regulated) and partnerships
- Review and/or draft contracts, agreements, and reports
- Draft and/or review any kind of documents prepared internally or by the service providers and ensure their compliance with Luxembourg law requirements and internal standards
- Co-ordinate investment documentation and report to the Luxembourg custodian
- Take care of Luxembourg or foreign compliance inquiries (AML/CFT, KYC, or beneficial ownership requests)
- Shareholders: review and/or drafting of all the documentation for shareholders’ general meetings (annual, ordinary, and extraordinary): convening notices, proxies, minutes
- Board of Managers: take an active part in the organization of quarterly meetings held in Luxembourg: coordination dates, prepare board pack, draft and review the minutes
- Review and/or draft of resolutions of the Board of Managers and of the Shareholders and all related documentation as and when needed
- Review of engagement letters and letters of interest submitted by the deal teams
- Follow-up of the investment transactions
- Assist the Senior Management in the supervision of the legal team and coordination with the accounting team
- Review tracking lists and templates to be maintained by the legal team
- Develop internal working procedures and assist with training of procedures
- Review the internal database, and ensure the team keeps files up-to-date and organized
**Key requirements**:
- Degree in Law or Business Administration
- Good knowledge and understanding of Luxembourg corporate Law
- Good knowledge and understanding of private equity/credit investment structures, their legal and administrative requirements, and day-to-day busines
- Minimum of 4 years of experience in the transactional department (Luxembourg law firm, Assets Management companies)
- Fluent in English
- Previous experience supervising a team
