Senior Corporate Secretary

As part of this very busy and dynamic role within the Alternatives Company Secretary team (CoSec), you will work with other CoSec team members (5 + people) to support the team, as well as playing a role in the ongoing expansion plans by:
- Handling your own portfolio autonomously from incorporation to liquidation, including transactions monitoring and coordination, Board and Shareholders meetings organization, approval of annual accounts, and facilitate all actions that could happen during the life cycle of a corporate entity.
- Interacting with lawyers, notaries, banks, asset management, finance teams and tax advisors along with managing external providers as part of your responsibilities.
- Training, supporting and overseeing junior team members
The successful individual will be a team player, reliable, friendly, organized with a strong sense of priorities, excellent communication skills and strong technical knowledge. Support requirements will vary day to day and the role will be a combination of paralegal tasks, board(s) support and junior staff member support. A strong work ethic and common sense are required.
**Key responsibilities include**:
- Manage the legal and corporate requirements of your own portfolio across various jurisdictions
- Be in charge of the administrative and legal daily life of private equity fund structures
- Organise and supervise meetings (board and shareholders)
- Liaise with internal finance, tax, acquisition, and asset management teams
- Liaise and coordinate external service providers
- Oversee restructuring and financing steps with other internal and external teams and advisors
- Monitor the corporate governance of the entities
- Update internal databases
- Track and monitor the accuracy of the legal documents (legislation, corporate details etc.)
- AML documents and query management
**Knowledge skills and experience required**:
- University degree in Law (or equivalent) and with education in Corporate Law also beneficial
- Minimum 5 years of experience in a similar position within a fiduciary or asset management role
- Fluent in English (French and German basic knowledge are also considered an asset)
- Excellent written and verbal communication skills
- Strong interpersonal skills
- Team player who can build strong and lasting relationships
- Solution orientated, proactive and eager to learn
- Flexible and willing to evolve with the role as the team grows
- Familiar with international corporate business rules
- Strong investment fund knowledge: private equity, real estate, funds.
- A a natural intellectual curiosity and able to work in autonomy as well as within a team.
- MS Office proficient
