Securities Services, a division of J.P. Morgan's Corporate Investment Bank, is a global industry leader with $30 trillion in assets under custody. J.P. It leverages its scale and capabilities in more than 100 markets to help clients optimize efficiency, mitigate risk, and enhance revenue through a broad range of investor services as well as securities clearance, collateral management and alternative investment services investments around the world.

**About the role**:
Company Secretary will be responsible for the day to day company administration for a number of client companies.

**Key responsibilities**:

- Compiling board packs and ensure its timely delivery to the managers prior to the board meetings
- Attendance at board and shareholder meetings
- Drafting of minutes of board and/or shareholder meetings
- Drafting of circular resolutions
- Preparation of statutory filings
- Liaison with CSSF RCS Luxembourg Stock Exchange and the Luxembourg tax authorities
- Liaising with third parties (auditors, legal counsels e.t.c.) to facilitate transactional activities as per client's requests
- Ensure timely delivery of all client outputs (including those originating from outsource service partners) for own clients and team
- Adopt flexible approach to ensure client deadlines are met
- Recommend and/or initiate corrective action when service levels fall short of standard
- Proactively work to maintain and enhance client relationships
- Assist with the planning of client meetings and visits
- Assist with the onboarding of new business
- Ensure full functional understanding of (and compliance with) operational risk processes & controls
- Identify and remediate any risk issues in accordance with internal risk policies
- Assist with the preparation of procedures & checklists and ongoing review of existing procedures & checklists
- Reviewing work of other team members for accuracy and control
- Supervision of team/tasks in absence of team manager

**Qualifications / Competencies**:

- Experience providing company administration support to Luxembourg domiciled companies (experience providing company administration to private equity vehicles would be advantageous)
- Significant experience in company secretarial or legal role
- ICSA qualified or equivalent legal/company secretarial qualification
- Knowledge of Luxembourg Commercial Law and fund administration
- Knowledge of Rules and Regulations of the Luxembourg Stock Exchange
- Knowledge of CSSF rules and regulations in respect of all Luxembourg regulated companies and funds
- Knowledge of Corporate Governance best practice
- Ability to assist in identifying systems and change processes changes desirable
- Administration and office experience
- Fluency in other languages highly advantageous

**Interpersonal skills**:

- Excellent presentation, interpersonal and communications skills - both written and oral
- Excellent organisation skills and the ability to multi manage tasks
- Ability to liaise effectively with peers and clients at various levels of seniority
- Must be pro-active and responsive
- Self-motivated, innovative, and analytical, and able to work well on their own or within a team environment
- Must have the ability to work accurately under pressure and to tight deadlines
